Custom Application Software definition

Custom Application Software means custom software components of the Solution developed by Tenex and required to fulfill the specifications in the Contract Documents including, but not limited to, parametric instructions, program source statements, and customization of standard software components. CAS does not include software developed by other or third parties (“TPS”).
Custom Application Software means the software modules or components developed for WORLDTRAVEL which perform the functions and comply with the proposal and specifications identified or set forth in the Design Specifications. Each Custom Application Software module or component, specification and proposal included or referred to in the Design Specifications is expressly incorporated herein by reference. The Custom Application Software shall be delivered in machine-readable object code form unless it is intended to reside on servers at TRX. Custom Application Software may be developed at either TRX’s or WORLDTRAVEL’s expense. Such determination shall be made on an individual basis and mutually agreed to by the parties in writing.
Custom Application Software means that the End User cannot use SSA to create or alter columns, tables, schemas or databases unless (a) such columns, tables, schemas and databases are created or altered by and within the context of the Application Software (i.e., the Application Software must generate the commands without the End-User itself using the SSA's command verbs) and only include data first captured in the specific Application Software in which the new columns or tables are created or altered (i.e., not transferred into such Application Software from other Application Software or applications), and (b) the commands to insert, delete or modify data in the new or altered columns, tables, schemas or databases must be included within existing "begin transaction" and "commit transaction" statements in the original version of the --------------------------------------------------------------------------------

Examples of Custom Application Software in a sentence

  • If the Custom Application Software fails to pass WORLDTRAVEL Alpha Testing based on the testing criteria in the Design Specifications or Delivery Order, WORLDTRAVEL shall so notify TRX in writing specifying the nature of such failure, and TRX shall use all reasonable efforts to correct such failure after which WORLDTRAVEL shall repeat WORLDTRAVEL Alpha Testing.

  • In the event of such termination, WORLDTRAVEL does have the right, but not the obligation, to purchase the source code and other work products, including Design Specifications, Documentation and Application Software produced under the Delivery Order for the Custom Application Software for a mutually agreed upon reasonable fee.

  • Providing WORLDTRAVEL with all work products, including Design Specifications, Documentation, Custom Application Software and source code, for any Delivery Orders for WORLDTRAVEL Custom Software.

  • The parties acknowledge and agree that WORLDTRAVEL may from time to time desire the development of Custom Application Software.

  • An authorized representative of TRX shall certify to WORLDTRAVEL in writing that the Design Specifications are fully capable of meeting WORLDTRAVEL’s requirements as contained in the Delivery Order, except as expressly agreed to otherwise in writing by WORLDTRAVEL and that TRX is fully capable of developing and delivering the Custom Application Software.

  • If the Custom Application Software fails to pass WORLDTRAVEL Alpha Testing a second time and such failure constitutes a material failure, WORLDTRAVEL has the right to terminate the Delivery Order and not pay for any services rendered under such Delivery Order, it being understood that WORLDTRAVEL would receive a refund of sums already paid under the Delivery Order.

  • In the event of such termination, WORLDTRAVEL does have the right, but not the obligation, to purchase the source code and other work products, including Design Specifications, Documentation and Custom Application Software, produced under the Delivery Order for a mutually agreed upon reasonable fee.

  • If the Custom Application Software fails to pass WORLDTRAVEL Beta Testing a second time, WORLDTRAVEL has the right to terminate the Delivery Order and not pay for any services rendered under such Delivery Order, it being understood that WORLDTRAVEL would receive a refund of sums already paid under the Delivery Order.

  • To license Custom Application Software, The City must issue a purchase order specifying a “Statement of Work” prepared by the Contractor, which fully defines the Application Software being licensed.

Custom Application Software means that the End User cannot use the Programs to create or alter columns, tables, schemas or databases unless (a) such columns, tables, schemas and databases are created or altered by and within the context of the Application Software (i.e., the Application Software must generate the commands without the End-User itself using the Program's command verbs) and only include data first captured in the specific Application Software in which the new columns or tables are created or altered (i.e., not transferred into such Application Software from other Application Software or applications), and (b) the commands to insert, delete or modify data in the new or altered columns, tables, schemas or databases must be included within existing "begin transaction" and "commit transaction" statements in the original version of the Application Software. Moreover, an AD Seat may not be used to run copies of Programs which have been modified through a full-use license to include modifications not permitted above. Notwithstanding the above, the End User may use standard database administration command verbs used for backup, recovery, space/index management and consistency checking in the course of systems administration.

(4) A "Seat" means a specific identifiable unique accessor of information such as a terminal, PC, single user workstation or real time device licensed to access SQL Anywhere without regard to when the access occurs; use of software or hardware which reduces the number of accessors (sometimes called "multiplexing" or "pooling") does not reduce the number of Seats, but rather the number of Seats is equal to the number of distinct inputs to the multiplexing software or hardware.
