Delayed Transfer Date definition

Delayed Transfer Date has the meaning set forth in Section 6.9(a).
Delayed Transfer Date means (a) for each Delayed Transfer Employee in a Delayed Transfer Jurisdiction, the date of the Delayed Transfer Closing and (b) for any other Delayed Transfer Employee, the date mutually agreed in writing between Purchaser and Seller; provided that, unless the Parties otherwise mutually agree in writing, the Delayed Transfer Date as a result of the Delayed Transfer Condition specified in item 3 of Annex 2.8 shall in no event exceed eighteen (18) months following the Closing Date.
Delayed Transfer Date means the date on which it is determined by Fortive that either (a) a Delayed Transfer Ralliant Employee or Delayed Transfer Fortive Employee is permitted to transfer from the Fortive Group to the Ralliant Group or from the Ralliant Group to the Fortive Group, respectively, in accordance with applicable Law, or (ii) the necessary business operations are set up in the relevant jurisdiction to enable employment of the Ralliant Employee or Fortive Employee by the Ralliant Group or Fortive Group, as applicable.

Examples of Delayed Transfer Date in a sentence

  • Any Inactive Employee who returns to active employment within 180 days of the Closing (the date of such return to active employment being referred to herein as the “Delayed Transfer Date”) shall be transferred to employment with the Acquired Companies upon the Delayed Transfer Date, without any additional conditions, and any such Inactive Employee shall be treated as a “Continuing Employee” from and after the Delayed Transfer Date and shall be referred to herein as a “Delayed Transfer Employee”.

References to “Closing”, “Closing Date”, “Effective Time”, “Separation Time” and “Separation Datein this Agreement shall be interpreted to mean the “Delayed Transfer Date” as it applies to any Delayed Transfer Newco Employee, where the context requires.
