DFC Module definition

DFC Module or “Module” shall mean those components manufactured by Seller, which comprise the fuel cell stack itself, including the stack enclosure vessel, the fuel cell stack, ship loose items related to the module end post and its supporting hardware, including individual fuel cells and cell assemblies, anodes, cathodes, current collector plates, matrixes, manifolds, instrumentation, assembly and compression hardware and/or the stack enclosure vessel, purchased by the Buyer pursuant to this Contract, the description and the quantity of which are set forth in Appendix A to this Contract.

Examples of DFC Module in a sentence

  • The Seller warrants, for a period of eighteen (18) months from the date of EXW shipment, or twelve (12) months from the date of first operation at the installation site, whichever occurs first, that (i) the DFC Modules and DFC Components to be delivered hereunder shall be free from defects in material and workmanship; and (ii) the DFC Modules and DFC Components conform to the DFC Module Specifications and DFC Component Specifications and other requirements set forth in this Contract.

  • In the event the POSCO Plant fails to achieve at least 95% of the guaranteed power output and/or efficiency solely due to the fault of the DFC Module or DFC Components after repeated FA tests, Seller shall notify Buyer in writing of the reason for such failure.

  • Manufacturing Category 4 (MC-4): Seller Supplies DFC Module Components, Buyer and/or POSCO Affiliate assembles DFC Module Components into DFC Modules under separate license from Seller, POSCO Affiliate supplies BOP.

  • In this stage Buyer and/or POSCO Affiliate will establish a facility in Korea for stack assembly and conditioning activities to complete the manufacture of DFC Modules using DFC Module Components and technical assistance provided by Seller.

  • If the reason is solely attributable to causes related to DFC Module or DFC Components provided by Seller, then Seller shall have a period of six (6) months from the first FA test to take necessary corrective actions and repeat the FA test to achieve greater than 95% of the guaranteed power output and/or efficiency.

  • If a complete DFC Module wholly manufactured by Seller is forced to continuously or intermittently decrease power output below 50% of the power output at final acceptance (“Downtime”), and if such Downtime is due to causes solely attributable to Seller, then Seller shall be subject to liquidated damages as outlined in this section.

  • When any premature DFC Module failure occurs as indicated in Section 3.2.6, Seller shall establish a joint investigation team with Buyer, commence a joint investigation of each premature DFC Module failure upon receiving a notice from Buyer of such failure and submit a report to Buyer containing detailed information about the cause or causes of the failure, including the root cause, within fourteen (14) days from the Buyer’s notice of premature DFC Module failure.

  • To that end, Seller shall use all commercially reasonable efforts to complete the deliveries of DFC Module Kits in accordance with the delivery schedule set forth in Annex A hereunder (“Delivery Milestones”).

  • If any Cell Defect is attributable to Seller, Seller shall procure, at its own costs and expenses, the Cell Replacement in accordance with applicable warranty provisions in Article 10; provided that the period of warranty for the DFC Module Kit, of which a defective portion of NRC and/or RC are substituted with any Cell Replacement, shall be a period of twenty-one (21) months from the EXW shipment date of such DFC Module Kit with the Cell Defect.

Related to DFC Module

  • Module means specific portion of the Application Software designated as such in the Documentation made available to the Customer under the Notification Form.

  • Diagnostic source assembly means the tube housing assembly with a beam-limiting device attached.

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Modules means the Base Modules and Extended Modules.

  • Software Upgrade means a release of Software, in object code form, or firmware, which adds new functionality and feature enhancements to the Software or Equipment. Kodak software releases that are designated as Software Upgrade will be identified A.B.x where the A &B designates the release as a Software Upgrade.
