In the event a party offered participation declines to participate, the other party may proceed with the formation of such an entity and the provision of ancillary services, so long as the services are priced competitively with those charged by the Index Group, as described in 2.3(b) above.
MC shall obtain pricing for the ancillary services listed in Section 2.3(a) and any other third party services required, which pricing is at least as competitive, for a comparably priced loan, as the aggregate fees charged by the Index Group of lenders as defined in Appendix A to this Agreement, for similar services.
