For the avoidance of doubt, the Parties agree that the Damages to be deducted for any reduction in Normative Availability shall be 25% (twenty five per cent) of the Fixed Charge which is reduced on account of shortfall in Availability below Normative availability.
For the avoidance of doubt and by way of illustration, in the event the Availability in any month shall exceed the Normative Availability by 3% (three per cent) of the Contracted Capacity but the Despatch during that month shall exceed 1% (one per cent) of the Contracted Capacity, the Incentive payable hereunder shall be restricted to such 1% (one per cent) only.
In case of Availability being lower than the Normative Availability, the Capacity Charges shall be payable on proportionate basis in addition to the penalty to be paid by the Company as provided in this Schedule.

If and to the extent the Availability in a Contract Year exceeds Normative Availability, an incentive at the rate of forty (40%) of the Quoted Capacity Charges (in USD/kWh) for such Contract Year mentioned in Schedule 7 subject to a maximum of 0.0045 USD/kWh, shall be allowed on the energy (in kWh) corresponding to the Availability in excess of ninety percent (90%).
In case of Availability being lower than the Normative Availability, the Capacity Charges shall be payable on proportionate basis in addition to the penalty to be paid by the Seller as provided in this Schedule.
For the avoidance of doubt and by way of illustration, the Parties agree that if the pro rata Fixed Storage Charge for 1% (one per cent) of Normative Availability is Rs. x, the Damages payable for reduction of 1% (one per cent) in Actual Availability below the level of Normative Availability shall be Rs. 0.5x, which shall be in addition to the pro rata reduction of Rs. x in the Fixed Storage Charge payable for the relevant month.
Shortfall in Availability below Normative Availability levels (as per Section 11.9.2) In the event that Actual Availability at any time is less than the Normative Availability, the Fixed Storage Charge payable for the relevant month shall be proportionately reduced and in addition, such reduction shall be multiplied by a factor of 0.5 (zero point five) for determination of Damages.
