Each of the Company and the Subsidiary Guarantors consents and agrees to be bound by the terms of the Notes Security Documents, as the same may be in effect from time to time, and agrees to perform its obligations thereunder in accordance therewith.
The Company and each Subsidiary Guarantor shall not (a) change its name as it appears in official filings in the state of its incorporation or organization, (b) change the type of entity that it is or (c) change its state of incorporation or organization, in each case, unless such change is not prohibited by this Indenture and the Notes Security Documents and will not adversely impact the Notes Collateral Agent’s lien on the Collateral.
The Holders, by their acceptance of the Notes, hereby authorize and direct the Notes Collateral Agent to execute such Notes Security Documents.
Notwithstanding anything to the contrary herein, any enforcement of the Subsidiary Guarantees or any remedies with respect to the Collateral under the Notes Security Documents is subject to the provisions of the Intercreditor Agreements.
