Project Specific IPRs definition
Project Specific IPRs means: (a) IPRs in the Services provided by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of the Contract and all updates and amendments of these items created during the Contract Period; and/or (b) IPRs arising as a result of the provision of the Services by the Supplier (or by a third party on behalf of the Supplier) under the Contract, [including the rights in or to any database developed and supplied by the Supplier to the Customer in accordance with the terms of this Contract;
Project Specific IPRs means: IPRs in or arising out of the provision of the Services under this Contract and all updates and amendments to the same created or arising during the Contract Period; and/or any materials, data and other works of any kind whatsoever created or compiled in the course of the performance of this Contract in which IPRs may subsist; and/or the IPRs in any modifications, updates and developments to the Customer Background IPRs; and/or any Personal Data provided or available to the Supplier for the purposes of this Contract; and/or any source code, object code, database rights, data, text, drawings, diagrams, images or sounds (together with any database made up of any of these) which are embodied in any electronic, magnetic, optical or tangible or other media, and which are supplied to the Supplier by or on behalf of the Customer; or the Supplier is required to receive, commission, generate, develop, process, store or transmit pursuant to this Contract (except for IPRs in modifications, updates and developments to the Supplier Background IPRs and excluding any Supplier Background IPR or Supplier Software);
Project Specific IPRs means: a. IPRs in or arising out of the provision of the Services under this Contract and all updates and amendments to the same created or arising during the Contract Period; and/or b. any materials, data and other works of any kind whatsoever created or compiled in the course of the performance of this Contract in which IPRs may subsist; and/or c. the IPRs in any modifications, updates and developments to the Customer Background IPRs; and/or d. any Personal Data provided or available to the Supplier for the purposes of this Contract; and/or any source code, object code, database rights, data, text, drawings, diagrams, images or sounds (together with any database made up of any of these) which are embodied in any electronic, magnetic, optical or tangible or other media, and which are supplied to the Supplier by or on behalf of the Customer; or the Supplier is required to receive, commission, generate, develop, process, store or transmit pursuant to this Contract; Property means the property, other than real property and IPR, issued or made available to the Supplier by the Customer in connection with this Contract;
Examples of Project Specific IPRs in a sentence
Where a patent owned by the Supplier is necessarily infringed by the use of the Specially Written Software or Project Specific IPRs by the Authority or any Replacement Supplier, the Supplier hereby grants to the Authority and the Replacement Supplier a non-exclusive, irrevocable, royalty-free, worldwide patent licence to use the infringing methods, materials or software solely for the purpose for which they were delivered under this Contract.
If a licence granted in Clause 17.1 (Specially Written Software and Project Specific IPRs) ) is novated under Clause 17.8 (Authority’s right to assign/novate licences) or there is a change of the Authority’s status pursuant to Clause 17.9, the rights acquired on that novation or change of status shall not extend beyond those previously enjoyed by the Authority.
DFID grants the Supplier a licence to use any DFID Background IPR and Project Specific IPRs for the purpose of fulfilling its obligations under this Contract during its Term.
More Definitions of Project Specific IPRs
Project Specific IPRs means: IPRs in or arising out of the provision of the Goods and/or Services under to this Call Off Contract and all updates and amendments to the same created or arising during the Contract Period; and/or any materials, data and other works of any kind whatsoever created or compiled in the course of the performance of this Call Off Contract in which IPRs may subsist; and/or the IPRs in any modifications, updates and developments to the Customer Background IPRs and modifications, amendments, updates and new releases of the Supplier Background IPRs which arise specifically in the course of the provision of the Goods and/or Services and the performance of the Supplier’s obligations under this Call Off Contact; and/or any personal data provided or available to the Supplier for the purposes of this Call Off Contract; and/or any data, text, drawings, diagrams, images or sounds (together with any database made up of any of these) which are embodied in any electronic, magnetic, optical or tangible or other media, and which are supplied to the Supplier by or on behalf of the Customer; or the Supplier is required to receive, commission, generate, process, store or transmit pursuant to this Call Off Contract;
Project Specific IPRs means: Intellectual Property Rights in items created by the Service Provider (or by a third party on behalf of the Service Provider) specifically for the purposes of this Contract and updates and amendments of these items including database schema; and/or Intellectual Property Rights arising as a result of the performance of the Service Provider's obligations under this Contract; but shall not include the Service Provider Background IPRs or the Specially Written Software.
Project Specific IPRs. (a) Intellectual Property Rights in items created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of this Agreement and updates and amendments of these items including (but not limited to) database schema; and/or (b) Intellectual Property Rights arising as a result of the performance of the Supplier's obligations under this Agreement; but shall not include the Supplier Background IPRs or the Specially Written Software;
Project Specific IPRs means:- (a) IPRs in items created by the Prime Contractor (or by a third party on behalf of the Prime Contractor) specifically for the purposes of the Contract including any IPRs in the Deliverables and/or software and all updates and amendments of these items created hereunder; and/or (b) IPRs arising as a result of the performance of the Prime Contractor's obligations under the Contract
Project Specific IPRs means: (a) IPRs in the Services and/or Deliverables created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of the Contract or arising as a result of performance of the Supplier’s obligations under this Contract and all updates and amendments of these items; and/or (b) items other that Software (including without limitation any manuals or other documentation) created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of this Contract and updates and amendments of these items; (c) IPRs arising as a result of the configuration of the Software for carried out for the Customer by the Supplier or any Sub-contractor in the course of delivering the Services (but excluding the IPR’s in the Software); (d) the technical specifications, user manuals, operating manuals, operating manuals, process definitions and procedures and other documentation including designs relating to the Specially Written Software including the rights in or to any database developed and supplied by the Supplier to the Customer in accordance with the terms of this Contract;
Project Specific IPRs means: (a) IPRs in the Services and/or Deliverables created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of the Contract or arising as a result of performance of the Supplier’s obligations under this Contract and all updates and amendments of these items; and/or (b) items other that Software (including without limitation any manuals or other documentation) created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of this Contract and updates and amendments of these items; (c) IPRs arising as a result of the configuration of the Software for carried out for the Customer by the Supplier or any Sub-Contractor in the course of delivering the Services (but excluding the IPR’s in the Software); (d) the technical specifications, user manuals, operating manuals, operating manuals, process definitions and procedures and other documentation including designs relating to the Specially Written Software including the rights in or to any database developed and supplied by the Supplier to the Customer in accordance with the terms of this Contract;
Project Specific IPRs means (excluding all IPRs in any documentation, DCC Data and/or DCC Software): (a) IPRs: (i) in items created by the Contractor or any other Contractor Person (or by a third party on behalf of the Contractor or a Contractor Person) specifically for the purposes of this Agreement and updates and amendments of these items; and/or (ii) arising as a result of the performance of the Contractor's obligations under this Agreement, excluding the Contractor's Background IPRs or the Specially Written Software;
