Prudent Operating and Maintenance Practices definition
Prudent Operating and Maintenance Practices means the practices, methods, standards and procedures generally accepted and followed by a prudent, diligent, skilled and experienced manager and operator acting in accordance with standards generally utilized in the United States with respect to the management, operation, maintenance, safety and loss prevention of manufacturing facilities having similar characteristics to the Plant which, at the particular time in question, in the exercise of reasonable judgment and in light of facts then known or that reasonably should have been known at the time a decision was made, would be expected to accomplish the desired results and goals, including such goals as efficiency, reliability, economy and profitability, in a manner consistent with Governmental Requirements considering the age of the Plant, and subject to its originally projected useful life of thirty (30) years.
Prudent Operating and Maintenance Practices means the generally accepted and sound utility industry practices, methods and acts applicable to similar independent power facilities situated in the United States which at a particular time, in the exercise of reasonable judgment and in light of facts known or that should have been known, would have been expected to accomplish the desired results and goals established in the Annual Operating Plan, including such goals as efficiency, reliability, economy, continuous improvement and profitability, in a manner consistent with Law, safety, and environmental protection. With respect to the Project, Prudent Operating and Maintenance Practices include such things as taking reasonable actions to ensure or provide the following:
Prudent Operating and Maintenance Practices has the meaning specified in the Operations Agreement.
Examples of Prudent Operating and Maintenance Practices in a sentence
Provider shall calibrate (as an Operating Expense) each of the Provider Feed Water Flow Meter, Provider Feed Water Instrument, Provider Feed Water Monitoring Equipment, Provider Steam Flow Meter, Provider Steam Instruments and Provider Steam Monitoring Equipment (i) at the frequency recommended by its manufacturer or, if no manufacturer’s recommendation exists, in accordance with Prudent Operating and Maintenance Practices; and (ii) in any event not less than once per six (6) months.
Such scales shall have an accuracy of not less than 0.25% and shall be calibrated by an independent third party at a minimum of once per year or more often as required by the manufacturer’s instructions or Prudent Operating and Maintenance Practices, the cost of which calibration shall be an O&M Expense.

Consistent with Prudent Operating and Maintenance Practices, Haverhill shall sell to AK or its Affiliate Tendered Energy from the Plant at the Point of Delivery.
Such personnel (i) shall be qualified (including possessing appropriate licenses) and experienced in the duties to which they are assigned and (ii) shall meet the requirements for personnel under the O&M Manuals and in accordance with Prudent Operating and Maintenance Practices.
More Definitions of Prudent Operating and Maintenance Practices
Prudent Operating and Maintenance Practices means the policies or practices implemented by Facility Operator in the operation and maintenance of the Paper Mill, which in the aggregate shall be consistent with industry standards.
Prudent Operating and Maintenance Practices has the meaning ascribed to it in the O&M Agreement.
Prudent Operating and Maintenance Practices means those practices, methods and acts generally followed by the utilities industry, including: (i) the observance of then current operating procedures established for the Facilities by Operator and approved by Owner, which approval shall not be unreasonably withheld; (ii) the use of equipment and personnel in compliance with industry codes, standards, and Governmental Rule that apply to the Facilities from time to time, and in the case of equipment, in compliance with the manufacturer's published recommendations for the use and maintenance thereof;

Prudent Operating and Maintenance Practices means those operating and maintenance practices with respect to Contractor’s performance of the Services which: (1) are required by Applicable Law; (2) conform to all manufacturers’ manuals and maintenance schedules applicable to equipment at the Facility used or usable in the performance of the activities contemplated hereunder; (3) maintain the Facility in the same or better condition as of the date Contractor assumed responsibility for operating and maintenance services including any improvements resulting from work performed under the Agreement; (4) ensure that all work, repairs or replacement of any equipment, facilities, improvements or other items are in accordance with the same or greater specifications of materials, equipment replacement, parts, supplies, and other components as of the commencement of this Agreement or when installed during the course of Contractor’s Services.; (5) shall enable the Facility to receive and process Acceptable Recyclables to maximize revenue and minimize expenses consistent with the best interests of MIRA in the manner contemplated by this Agreement;
Prudent Operating and Maintenance Practices means those practices, methods and acts generally employed in the power generation industry that at the particular time in question, in the exercise of reasonable judgment in light of the facts known at the time the decision in question was being made, would have been expected to accomplish the desired result of such decision consistent with the goals established in a Budget and Plan, and the requirements of Applicable Law. With respect to NAES, Prudent Operating and Maintenance Practices are not limited to the optimum practices, methods or acts to the exclusion of all others, but rather include a spectrum of possible practices, methods or acts commonly employed in the power generation industry, including taking reasonable actions to provide (i) adequate materials, resources and supplies, to the extent within the control of NAES and available to meet Facility needs; (ii) a sufficient number of operators who are available and adequately trained to operate the Facility; and (iii) the timely performance of preventive, routine, and non-routine maintenance and repairs, as exemplified and generally described in Appendix A, subject, in all cases, to the limitations on NAES’s authority and duties as set forth in this Agreement.
