  • Assignee hereby indemnifies and will defend and hold the Authority harmless from any and all liabilities, loss, attorney’s fees, costs, expenses or claims arising out of or related to Assignee’s performance or failure to perform any of its obligations under the Ranch Agreement or its enforcement of the terms and conditions of the Ranch Declarations to the extent pertaining to the Subject Property (or any portion thereof) from and after the Effective Date.
