Remaining Commitment means an amount equal to the Backstop Party’s Backstop Commitment Amount prior to any reductions set forth in this Section 7 less its Shareholder Commitment Amount.

Each Partner shall contribute cash to the Fund as set forth herein, provided that no Limited Partner shall be required to make any Capital Contribution to the Fund at any time that exceeds its Remaining Commitment at such time.
Immediately prior to a Listing, or, if earlier, on 31 March 2016 and at any time after that date but before 1 June 2016, the board of directors of the Company may cause the Company to issue a notice (“Drawdown Notice”) to each Investor, requiring that such Investor subscribe for additional Ordinary Shares at the Initial Price per Ordinary Share, up to an amount equal to such Investor’s Remaining Commitment (subject to clause 2.9 below).

More Definitions of Remaining Commitment

Remaining Commitment shall have the meaning set forth in the LLC Agreement.

Remaining Commitment means, at any time of determination, an amount equal to $225,000,000 minus the aggregate amount of all Capital Contributions made by UGI to the Partnership prior to such time of determination.

The amount called from the Investor pursuant to a Capital Call may not exceed the Investor’s Remaining Commitment as of the date of the Call Notice to which such Capital Call relates, and in no event shall the Investor’s aggregate Purchase Price paid for the Shares exceed the Investor’s Total Commitment. For purposes of this Agreement, “business day” shall mean any day that is not a Saturday, Sunday or other day on which commercial banks in New York or Bermuda are authorized or required by law to close.

Remaining Commitment is defined in Section 5.2(a).
