Your rights under this Agreement apply only to Software, Modifications, and/or Applications for which all Designated Users are duly licensed hereunder.
Notwithstanding clause 5.5 above, where any improvements, modifications and/or additions are made to the Software (or any data created or generated by the Software) (“Software Modifications”) are developed or suggested by you, you agree that the Software Modifications vest in us from the time of their creation or otherwise is assigned to us, including all Intellectual Property Rights in such modifications and/or additions.
The Software Modifications are and shall become components of the System Software.
Customer shall retain only a license to said Software Modifications as described in Section 3 of this OEM Supplement.
Customer shall be responsible for the installation of Software Modifications, at Customer's expense.
