Software Code definition

Software Code means any and all source code or executable code for client code, server code, and middleware code (as those terms are generally used in the software development industry), and any and all database schemas, database backup , test scripts, other scripts, architecture diagrams, data models and other documentation related thereto.
Software Code means any source or object code of Company or its licensors included in the Software Solution, including, but not limited to, the graphical user interface.
Software Code means the source code, object code, and related documentation underlying the software application(s) utilized or proposed to be utilized by an Applicant or Participant to select Challenge Compounds predicted to bind applicable Challenge Target(s) from among the compounds in the Virtual Compound Library(ies) specified by VIMI for a particular Challenge.

  • MMMC hereby irrevocably assigns to all right, title and interest in and to the clearly identified Custom Software Code and related documentation produced pursuant to this Agreement or any applicable SOW under this Agreement, including without limitation, all Intellectual Property Rights thereto and therein.

More Definitions of Software Code

Software Code means as set forth in Section 4.13 (a).
Software Code means a code generated by StairBiz which uniquely identifies the single computer on which that copy of StairBiz is installed.
Software Code means the code to Company's proprietary software used in the Company's Business.
Software Code means the source code version of the Software owned or licensed by Supplier existing as at the Commencement Date as described in the Schedule and made available to the Client under this Agreement, and includes any Updates. Force Majeure means any act, event or cause (other than lack of funds) which is beyond the reasonable control of the affected Party causing that Party to be unable to observe or perform on time an obligation under this Agreement.
Software Code has the meaning set forth in Schedule 1.1.
Software Code means the software part of the Technology which is specified in Appendix 1C, which is to be delivered to Licensee in source code or object code form. “Software Code IP” means the Intellectual Property Rights in relation to (i) the Software Code, and (ii) Licensed Updates and Upgrades with respect to the Software Code, in each case, excluding any IP owned by third parties that are not Affiliates of Licensor. “Steering Committee” is defined in Section 10.3. “Strategic Board” is defined in Section 10.4. “Supplier IP” means the Intellectual Property Rights owned by suppliers of Licensor or its Affiliates which is not sub-licensable by Licensor. “Technology” means the [***] Technology and [***] Technology. For the avoidance of doubt, source code and object code, except for the Software Code as specified in Appendix 1, are not included by this definition. “Term” is defined in Section 12. “Territory” means Americas, Asia Oceania, Europe, the Middle East and Africa. “Third Party” means a party other than any of the Parties and Affiliates of the Parties to this License Agreement. “Trademarks” means trademarks (including part numbers that are trademarks), service marks, logos, trade names, business names, assumed names, trade dress and get-up, and domain names, in each case whether registered or unregistered, including all applications, registrations, renewals and the like, in each case to the extent they constitute rights that are enforceable against Third Parties. “Update” is defined in Section 3.3.2. “Upgrade” is defined in Section 3.3.3.
