Target Performance definition

Target Performance means the Performance Goal achievement required for the targeted distribution with respect to a Performance Share, as set out in Appendix A. If Target Performance is achieved but not exceeded for all Performance Goals, the Unadjusted Share Distribution with respect to a Performance Share is one share of the Company’s voting common stock (“Share”).
Target Performance shall have the meaning set forth in Section 10(a) below.
Target Performance for purposes of this Agreement shall mean (i) the actual performance for each completed year under each applicable award, plus (ii) the "target" performance for the then current year under each applicable award;

Examples of Target Performance in a sentence

  • The amount of and Executive’s eligibility for the Target Performance Bonus shall be determined in the sole discretion of the Board (or the compensation committee thereof, as such determination may be delegated by the Board to the compensation committee).

  • If any such Customer’s test adversely affects the Supplier’s ability to deliver the Services so as to meet the Target Performance Levels, the Supplier shall be granted relief against any resultant under-performance for the period of the Customer’s test.

  • If earned, any Target Performance Bonus shall be paid to Executive, less authorized deductions and applicable withholdings, on or before the February 15th following the calendar year during which such bonus was earned.

  • Except as provided in Sections 3.2 and 4.2, Executive shall be eligible to earn the Target Performance Bonus only if Executive is actively employed and in good standing with the Company on both the determination and payment dates for the Target Performance Bonus.

  • The number of Performance Awards payable with respect to each Performance Criteria shall be equal to the Target Performance Award for such Performance Criteria multiplied by the Payout Percentages set forth in Exhibit A for such Performance Criteria, together with any dividend equivalents credited on such Performance Awards.


More Definitions of Target Performance

Target Performance means the Company has achieved Total Shareholder Return of ten percent (10%).
Target Performance means the Performance Goal achievement required for earning 100% of the Target ROATCE Performance Units set forth in Section 3 of this Award Agreement, as such Performance Goal achievement is further described in Appendix A and designated as “Target” in the relevant table in Appendix A.
Target Performance means, with respect to any unvested Titanium OP Incentive Unit that is subject to performance-based vesting and any unvested Titanium PSU Award, the target performance metric (i.e., 1x) applicable to each individual performance metric set forth in the applicable Titanium Equity Award agreement.
Target Performance is achievement at the 50th percentile of the Performance Measures compared to the Peer Group.
Target Performance is the expected achievement in Average Return on Invested Capital; and “Maximum Performance” is the maximum level of performance that could be achieved that would result in an increase in the number of Performance Share Units earned under this Award. The target levels of achievement for the performance goal will be announced by no later than March 15, 2013, following calculation of year-end financial reporting for 2012. Subject to adjustment pursuant to Subsection 3(b), 3(c) and 3(d), each such percentage correlates to a number of Performance Share Units that may be earned under this Award, as follows:
Target Performance means the expected Ranking for the applicable Performance Cycle.
Target Performance is a Relative TSR Percentile Rank of the Company equal to 50.00% (i.e. at median of the comparison group). “Second Quartile Performance” is a Relative TSR Percentile Rank of the Company equal to 75.00% (i.e. equal to the top of the second quartile of the performance group). And, “Maximum Performance” is a Relative TSR Percentile Rank of the Company equal to 100% (i.e. the highest performing entity in the comparison group).
