The Sub-Adviser shall not be liable for any loss, damage or expense incurred by the Fund resulting from any act or omission of any Trading Entity chosen by the Sub-Adviser with reasonable care and in a manner otherwise consistent with its fiduciary obligations to the Fund under applicable law unless such loss, damage or expense is caused by, or results from, the willful misfeasance, bad faith, reckless disregard or gross negligence of the Sub-Adviser.
