University Improvements definition

University Improvements improvements, variations, updates, modifications, and enhancements made solely by the University relating to the Technology after the Commencement Date;
University Improvements means all inventions, discoveries, ----------------------- processes, methods, compositions, formulae, procedures, protocols, software developments and improvements, techniques, results of experimentation and testing, information and data, which have been conceived by employees or others acting on behalf of UNIVERSITY, either alone or jointly with others, as of the Effective Date of the Agreement, or which are conceived by employees or others acting on behalf of UNIVERSITY, either alone or jointly with others, during any Research Program under the Sponsored Research Agreement, and which constitute improvements to the UNIVERSITY Patent Rights or UNIVERSITY Know-How or are conceived, developed or reduced to practice using the UNIVERSITY Patent Rights or UNIVERSITY Know-How.
University Improvements means improvement(s) to the Meros Technology that are discovered, created or invented by an inventor who is employed by the University (“University Inventor”) and whose ownership rights have been assigned in whole or in part to the University, and which rights are not encumbered by a third party prior to the creation of such improvement(s). For further clarification, improvements made by one or more University Inventors in conjunction with other persons who are not inventors named in the patents described in Schedule A hereto are not University Improvements.

Examples of University Improvements in a sentence

  • The Licensee acknowledges that it has been advised by the University to undertake its own due diligence with respect to the Technology and any University Improvements.

  • The University shall not be liable for any loss, whether direct, consequential, incidental or special, which the Licensee suffers arising from any defect, error, fault or failure to perform with respect to the Technology or any University Improvements or Products, even if the University has been advised of the possibility of such defect, error, fault or failure.

  • Upon any such termination of this Agreement, the Licensee shall forthwith deliver up to the University all Technology and any University Improvements in its possession or control and shall have no further right of any nature whatsoever in the Technology or any University Improvements.

  • The Licensee will continue to make royalty payments to the University in the same manner specified in Articles 5 and 6 on all unsold Products containing all or some of the Technology and/or University Improvements that are sold in accordance with this Article 18.7, notwithstanding anything contained in or any exercise of rights by the University under Article 18.6 herein.

  • The accounting will specify, in or on such terms as the University may in its sole discretion require, the inventory or stock of Products containing all or some of the Technology and/or University Improvements manufactured and remaining unsold on the Effective Date of Termination.

  • In no event will Columbia or UC or their respective trustees, officers, directors, agents, or employees, be liable to Schrödinger, any Affiliate, licensee or sublicense of Schrödinger, or any other party, for any loss or damages, consequential or otherwise, including, but not limited to, time, money or good will, arising from this Agreement or from the use or operation of the PLOP Code or University Improvements.

  • On the failure ofthe Licensee to so deliver up the Technology and any University Improvements, the University may immediately and without notice enter the Licensee’s premises and take possession of the Technology and any University Improvements.

  • Columbia and UC disclaim any responsibility for the accuracy or correctness of the PLOP Code, University Improvements or Unassigned Improvements or for their use or application by Schrödinger or by any Affiliate, licensee or sub-licensee of Schrödinger.

  • All invention disclosures relating to University Improvements are and shall remain University’s Confidential Information.

  • The parties acknowledge and agree that the University shall retain ownership of the Patent Rights and Materials and shall own all University Improvements made both before and after the Commencement Date.


More Definitions of University Improvements

University Improvements means (i) software code comprising all corrections, modifications and improvements to the PLOP Code developed by Columbia and/or UC faculty members or other employees or students of Columbia or UC, which are (A) assigned in writing to Columbia or UC pursuant to such university’s policies on intellectual property rights in effect at the time such corrections, modifications or improvements are disclosed to Columbia or UC in accordance with such policies, provided, however, that solely with respect to UC, such software code shall be considered a “University Improvement” only if it was developed within [**] following the effective date of the IIA; or (B) otherwise assigned to Columbia or UC, and (ii) associated documentation.
University Improvements means any and all Improvements, variations, updates, modifications, enhancements and alterations to the Technology invented, developed and/or acquired at any time after the Commencement Date solely by the University.
University Improvements means inventions in the Field of Use that: (i) are dominated by the Licensed Patents, (ii) are assigned to University, and (iii) are not subject to an obligation to license the rights in the invention to a third party, including but not limited to under any Sponsored Research Arrangement, provided that any rights related to University Improvements granted to Company hereunder are subject to any rights of the United States Government pursuant to the provisions of 35 U.S.C. sections 200-212 and applicable regulations of Chapter 37 of the Code of Federal Regulations.

Related to University Improvements

  • Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

  • Quality Improvement means a focus on activities to improve performance above minimum standards and reasonably expected levels of performance, quality and practice.

  • System improvements means capital improvements to public facilities which are designed to provide service to a service area.

  • Joint Improvements means Improvements conceived or first reduced to practice jointly by (a) one or more employees of, or others obligated to assign inventions to, ImmunoGen or any Affiliate of ImmunoGen, and (b) one or more employees of, or others obligated to assign inventions to, Novartis or any Affiliate of Novartis.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas.
