The Access and Availability clause defines the conditions under which one party is permitted to use or access certain resources, services, or information provided by the other party. Access and Availability. Subscriber is responsible for providing all equipment and the connectivity necessary to access and use Cloud Offerings via the Internet. Subscriber agrees that from time to time the Cloud Offerings may be inaccessible or inoperable for various reasons, including without limitation (i) system malfunctions; (ii) periodic maintenance procedures or repairs which Bentley or its service provider(s) may undertake from time to time; (iii) compatibility issues with Subscriber’s or a third party’s hardware or software; or (iv) causes beyond the control of Bentley or which are not reasonably foreseeable by Bentley, including network or device failure, interruption or failure of telecommunication or digital transmission links, hostile network attacks or network congestion or other failures (collectively “Downtime”). ▇▇▇▇▇▇▇ shall use reasonable efforts to provide advance notice to Subscriber in the event of any scheduled Downtime, and to minimize any disruption of the Cloud Offerings in connection with Downtime.
Access and Availability. Practice and each Participating Physician agree to HMHP standards of access and availability, as set by the HMHP Board which shall include
(i) making Covered Services available to Enrollees during normal business hours, and
(ii) being available, directly or through a coverage arrangement, to provide emergency Covered Services on a twenty-four (24) hour, seven (7) day per week basis.

Cohesive shall use reasonable efforts to provide advance notice to Subscriber in the event of any scheduled Downtime, and to minimize any disruption of the Cloud Services in connection with Downtime.

Licensees will have access to all back content not previously purchased if they have a current subscription, and if they have subscribed for the two previous consecutive years. Access and Availability. 6.1 Subject to clause 6.2, we agree to use commercially reasonable endeavours to ensure that, once we commence providing the SaaS Services, the SaaS Services will be available and accessible at all times during the Term.
6.2 During the Term, from time to time, the SaaS Services may be unavailable due to:
a. an interruption caused or contributed to by you or an event outside our reasonable control (including a Force Majeure Event);
b. scheduled and emergency maintenance; and
c. updates in relation to the SaaS Services.
6.3 You agree that access to, or the functionality of all or part of the SaaS Services, may need to be suspended for a time in order for us to do this.
6.4 We will endeavour to provide you with reasonable notice, where possible, of any interruptions to access and availability of the SaaS Services.
