Additional Circumstances. The Corporation shall also indemnify any individual referred to in Section 6.2 in such other circumstances as the Act or law permits or requires. Nothing in This By-Law shall limit the right of any individual entitled to indemnity to claim indemnity apart from the provisions of This By-Law.

Additional Circumstances. If the MPO, absent an unsatisfactory annual performance evaluation, or requirement of law, reduces the base salary, automobile allowance or retirement plan contribution, such action may, in the Employee’s sole discretion, constitute a breach of this Agreement and will be regarded as a termination without cause.

Additional Circumstances. If the City designates and assigns other bargaining unit employees on-call status (more than one per week), that employee shall receive the same compensation listed above. If an on-call employee is called back to work, that employee shall be compensated in accordance with Article 9.5 (Call-back Time) in addition to the on-call amount. Employees scheduled as the designated on-call employees and live within thirty (30) minutes, as determined by the City, may take a City vehicle home for on-call purposes (pursuant to the City’s take-home vehicle policy). Response to phone calls that do not require a physical call for service (i.e., leaving your home) will be compensated with overtime based on the actual time worked beyond fifteen (15) minutes. Employees must log their actual work hours and the circumstances of the event and be able to provide the log after their on-call week has been completed.
Additional Circumstances. The Lender understands and acknowledges that through communications between the Lender and the Company on August 15 through 17, 2005, the Company has, in good faith and to the best of its knowledge under the circumstances, endeavored to make full disclosures to the Lender of factual, legal, financial and other information concerning the Company, its operations, finances, investors, public filings, capital structure, officers, directors and personnel (collectively, “Company Operations”) that is material and which, along with additional unknown information concerning or relating to Company Operations, could materially impact, including in a negative way, Company Operations, the Company’s past and future filings with the Securities and Exchange Commission and/or the Company’s ability to make such filings (“Company Disclosures”). The Lender therefore agrees that the accuracy of the Company’s representations, warranties, covenants and factual statements in this Bridge Loan Agreement (including without limitation those set forth in Sections 3, 4 and 8) and the Note annexed hereto, and the obligations relating thereto are subject to and modified by the foregoing Company Disclosures.

  • Exceptional Circumstances Sourcewell retains the right to consider additional extensions as required under exceptional circumstances.

  • Special Circumstances An employee shall be entitled to extend the maternity leave by up to an additional six (6) consecutive weeks' leave without pay where a physician certifies the employee as unable to return to work for medical reasons related to the birth. An employee shall be entitled to extend the parental leave by up to an additional five (5) consecutive weeks' leave without pay where the child is at least six (6) months of age before coming into the employee's care and custody and the child is certified as suffering from a physical, psychological or emotional condition. Provided however, that in no case shall the combined maternity and parental leave exceed fifty-two (52) consecutive weeks following the commencement of the leave.

  • Change of Circumstances The Company will, at any time during a fiscal quarter in which the Company intends to tender a Placement Notice or sell Placement Shares, advise ▇▇▇▇▇ promptly after it shall have received notice or obtained knowledge thereof, of any information or fact that would alter or affect in any material respect any opinion, certificate, letter or other document provided to ▇▇▇▇▇ pursuant to this Agreement.
