Additional Subcommittees Sample Clauses

Additional Subcommittees. Subcommittees will be formed as mutually agreed to by the members of the Labor/Management Committee. These subcommittees will be assigned to work on such issues that come to the attention of the Labor/Management Committee and require further attention than the regular committee meeting schedule permits. These committees shall have an equal number of management and labor representatives in addition to any other personnel that the committee feels might be useful for the accomplishment of the assigned task.
Additional Subcommittees. From time to time, the JSC may establish, as well as terminate, additional JPTs to oversee particular projects or activities within the scope of authority of the JSC, as it deems necessary or advisable. Each JPT shall consist of such equal numbers of representatives of each Party as the JSC determines is appropriate from time to time and shall meet with such frequency as the JSC shall determine.
Additional Subcommittees. The Steering Committee may form such additional subcommittees of the Steering Committee as it may deem to be desirable to address other aspects of Licensed Product development and commercialization.
Additional Subcommittees. From time to time, the JSC may establish and delegate duties to other subcommittees (each such other subcommittees and the JDS, a “Subcommittee”) to oversee particular matters. By way of example, the Parties intend that, at least one year prior to expectation of the First Commercial Sale of the Product in the Territory, a joint commercialization committee (JCS) will be established and tasked with coordinating and overseeing Commercialization Activities within and outside the Territory, including by reviewing and discussing each Commercialization Plan, and coordinating regarding promotional expectations. Each Subcommittee (other than the JDS) shall be constituted and shall operate as the Parties reasonably and mutually determine as reflected in writing between the Parties; provided, that each Subcommittee shall have equal representation from each Party; provided, further that, all such Subcommittee shall report to the JSC and decisions with respect to any disputes shall be made pursuant to Section 3.2.6 and, to the extent applicable, Section 17.1.
Additional Subcommittees. Each Joint Committee may establish subcommittees to perform any responsibilities assigned to such Joint Committee under this Agreement; provided, that no subcommittee shall (a) have any decision-making authority, or (b) be delegated any matter that is or could become a Deadlocked Committee Matter. The purpose, scope and procedures of any such subcommittee shall be agreed in writing by the Joint Committee that establishes such subcommittee. Unless otherwise agreed by the Parties, any such subcommittee shall consist of an equal number of representatives appointed by Company and TESARO, or their respective representatives on the applicable Joint Committee, and the number of representatives on any such subcommittee may be varied from time to time by the applicable Joint Committee or by mutual agreement of the Parties, subject to the foregoing.
Additional Subcommittees. The PPC may establish subcommittees pursuant to Section 8.6 of the PSA.
Additional Subcommittees. The Parties may also create additional subcommittees to oversee the activities under this Agreement or any particular Project as needed.
