Appointment as Manager. (a) VYSTAR hereby engages Manager to provide management services and other assistance in accordance with the terms of this Agreement. The Manager shall and hereby agrees to devote such time as is reasonably necessary to provide such services and assistance.
Appointment as Manager. Subject to the terms and conditions of this Management Services Agreement, Pipeline hereby appoints ServiceCo to act as Manager hereunder, and ServiceCo hereby accepts such appointment and agrees to act pursuant to the provisions of this Management Services Agreement. The Manager shall function as an independent contractor under this Management Services Agreement, and shall in no event ever act as, or be considered to be, an employee of Pipeline.
Appointment as Manager. LACERA hereby appoints Manager as a fiduciary of LACERA and authorizes Manager to invest and manage the Managed Assets. LACERA may at any time and from time to time adjust the amount of its assets allocated to Manager by making additional contributions to or withdrawals from the Managed Assets.

Subject to the limitations and terms and conditions of this Agreement, the Tribe, on behalf of itself and the Enterprise, hereby appoints Manager to act as the sole and exclusive manager of the Facility and the Enterprise and as the exclusive agent for the Tribe and the Enterprise for all non-governmental matters related to the management of the operations of the Facility and the Enterprise during the term of this Agreement. Subject to the terms and conditions of this Agreement, Manager accepts such appointment as the Tribe’s exclusive manager of, and managerial agent for, the Facility and the Enterprise for the term of this Agreement. Subject to the provisions of this Agreement and specifically the restrictions in this Article 2 and the budget provisions in Article 5, Manager shall have, and the Tribe does hereby grant to Manager, the power and authority to act as agent for the Tribe or the Enterprise, to exercise the rights of the Tribe or the Enterprise under, and to execute, modify, or amend any contracts associated with, the operations of the Facility or the Enterprise (excluding this Agreement) in the name of the Tribe, the Enterprise or Manager, including, without limitation, purchase orders, equipment and retail leases, contracts for services, including utilities, and maintenance and repair services, relating to the operation of the Facility or the Enterprise; provided, however, that Manager shall not have the authority to execute, modify or amend real estate agreements or contracts (excluding retail leases), or compacts or other agreements with the State or any other Governmental Authorities, which agreements shall remain within the sole and exclusive authority of the Tribe; and provided, further, that in no event shall Manager execute any contracts or agreements which require payments exceeding $500,000 in the aggregate or which have a term exceeding one (1) year, or such greater dollar amount or longer term as the Business Board may establish from ...
Appointment as Manager. The Licensee hereby appoints the Manager as its agent for the purposes, and on the terms and conditions, set out in this agreement.
Appointment as Manager. Appointment as Manager. Under the Operating Agreement, PubCo will become a member and the sole manager of the Operating Company. As the sole manager, PubCo will be able to control all of the day-to-day business affairs and decision-making of the Operating Company without the approval of any other member. As such, PubCo, through its officers and directors, will be responsible for all operational and administrative decisions of the Operating Company and the day-to-day management of the Operating Company’s business. PubCo cannot, under any circumstances, be removed as the sole manager of the Operating Company except by its election.
Appointment as Manager. The FRBNY hereby appoints the Manager to manage, supervise, and direct the investment of a portion of the SOMA account as specified by the FRBNY (“Account”) under the terms and conditions set forth in this Agreement. By execution of this Agreement, the Manager ▇▇▇▇▇▇ accepts the appointment and agrees to manage, supervise, and direct the investment of the Account pursuant to the provisions of this Agreement.

(d) sourcing appropriate Insurance and Reinsurance Contracts in accordance with the Annual Business Plan for the Company to undertake;
(e) providing all necessary financial, underwriting and actuarial analysis of any potential Insurance and Reinsurance Contracts;
(f) maintaining and servicing Insurance and Reinsurance Contracts related to the Company’s Business, including issuing, countersigning, endorsing, and terminating or canceling such contracts and issuing notices of cancellation under such contracts;
(g) investigating, adjusting and settling claims under Insurance and Reinsurance Contracts entered into by the Company, including defending losses under such contracts and negotiating and executing commutations of Insurance and Reinsurance Contracts entered into by the Company;
