ASSIGNMENT OF CLAIM. 9.1 Where having discharged any claim for breach of the Warranties the Vendors request the assignment to them of any right of the Purchaser or of the relevant Company to make recovery in whole or in part from any third party, the Purchaser will assign at Vendors' expense or procure the assignment to the Vendors or as they shall direct of such right and, if the same is not legally capable of effective assignment, will, subject to being indemnified to the reasonable satisfaction of the Purchaser pursue such claim on behalf of the Vendors and deliver over upon receipt to the Vendors all amounts recovered.
