Audit Support Services. FCC or USAC post-funding audits that occur after the term of this Agreement may be provided at an additional cost to be agreed on between the parties. Any such agreement shall be embodied in an addendum to this Agreement.
Audit Support Services. 1. Support reporting to regulatory bodies and financial statement preparation by making the Funds’ accounting records available to the Funds, the SEC, and the Funds’ independent registered public accounting firm (“IRPAF”), in each case as requested by a Fund. 2. Perform its duties hereunder in compliance with all applicable laws and regulations and provide any sub-certifications reasonably requested by the Funds in connection with any certification required of a Fund pursuant to the SOX Act or any rules or regulations promulgated by the SEC thereunder, provided the same shall not be deemed to change USBGFS’ standard of care as set forth herein. 3. Cooperate with the Funds’ IRPAF and take all reasonable action in the performance of its obligations under this Agreement to ensure that the necessary information is made available to such IRPAF for the expression of their opinion on the Funds’ financial statements, without any qualification as to the scope of their examination.

Audit Support Services. (i) Acting as a liaison with each Fund’s independent public accountants, providing account analyses, fiscal year summaries, and other audit-related information with respect to each Fund and otherwise taking all reasonable action in the performance of its duties under this Agreement consistent with the scope of such duties to ensure that the necessary information is made available to such accountants for the expression of their opinion, as required by each Fund; and (ii) Subject to the approval of each Fund’s auditors and independent accountants, and review by the Fund’s managing owner, providing book allocations to such Fund’s auditors and independent accountants for use in the preparation of and filing of any tax returns of such Fund to be prepared and filed by such Fund’s auditors and independent accountants.
Audit Support Services. Upon at least 30 days of advance written notice, Rackspace provides up to 60 hours of security audit services for one security audit, per each 12-month period for each separate engagement following the Commencement Date of the applicable Service Order. Any additional security audit services required by Client for each Project above this time cap, shall be available during Business Hours for US$250 per person, per hour, if booked two or more weeks in advance. For less than two weeks of advance notice, additional security audit services shall be available during Business Hours for US$350.00 per person, per hour. Additional security audit services requested outside of Business Hours are available for US$450 per person, per hour. If the security audit is performed on behalf of an end client of Client, Client shall give Rackspace direct access to the end client and its auditors.
