Availability of Employees. Each Party agrees to make its employees and non-employee consultants reasonably available at their respective places of employment to consult with the other Party on issues arising during the Development Phase and in connection with any request from any regulatory agency, including regulatory, scientific, technical and clinical testing issues. *Confidential information omitted and filed with the Commission.

Seller will use commercially reasonable efforts and act in good faith to ensure that those Business Employees whose employment does not automatically transfer to the Applicable Buyer Affiliate pursuant to Section 9.3(c)(ii) will be available for employment with the Applicable Buyer Affiliate after the Closing Date, but Seller does not guarantee that any of the Business Employees whose employment does not automatically transfer to Buyers pursuant to Section 9.3(c)(ii) will accept an offer of employment or become employed by U.S. Buyer or an Applicable Buyer Affiliate after the Closing.
Availability of Employees. Hyseq shall make its employees and consultants engaged in activities relating to this Agreement available, upon reasonable notice during normal business hours, to consult with, and provide customer support to, Chiron on issues related to the Collaboration, but in any case only to the extent reasonably necessary to enable Chiron to obtain the full benefit to it of participating in the Collaboration.
