The Development Program. The parties shall undertake a development and manufacturing scale-up program for the Product, as described in the attached Exhibits B and C, with the overall objective of creating commercial-scale manufacturing capability and obtaining all regulatory approvals necessary for the commercialization of the Product (hereinafter, the “Development Program”). Subject to the terms and conditions of this Agreement, including but not limited to Section 2.8 below, the parties will cooperate with each other using commercially reasonable good faith efforts to accomplish the goals of the Development Program; however, if the Product or associated processes are not successfully developed, neither party shall be liable to the other party solely by reason of that fact.
The Development Program. (a) RELIANT hereby engages EURAND, and EURAND hereby agrees, to perform the work described in Exhibit A (the “Development Program”). In connection therewith, EURAND shall make its best efforts to carry out the Development Program in accordance with the timetables and budgets therein and shall make available such of its scientific, engineering, manufacturing and other personnel, necessary to perform its obligations in accordance with the terms hereof. Any material change in the Development Program shall be agreed to in writing between Eurand and RELIANT.
(b) EURAND shall receive prior written authorization to commence each phase of the Development Program. RELIANT may cancel the Development Program at the conclusion of each phase prior to commencement of the subsequent phase.

The Development Program. The Development Program shall have a term (the "Development Term") which commences upon the date an R&D Candidate is selected for Development and shall continue until the JSC agrees to cease the Development of the last remaining R&D Candidate or until all Regulatory Approvals for all R&D Candidates have been received in the Territory.

The Development Program. Promptly following receipt of the amount set forth in Section 2 below, Institution shall use diligent efforts to develop Invader(R) polymorphism and mRNA transcript assays described in the Protocol, subject to Company providing Institution the materials described in Exhibit B (collectively, the "Company Materials"). Upon completion of the Development Program with respect to each such particular assay, Institution agrees to provide Company with the number of assay determinations set forth in the Protocol for such particular assay, including enzyme, buffer and Invader probes for such analyte (collectively, the "Institution Materials"). Accordingly, Institution shall, after consultation with Company, direct and perform the Development Program in a professional and diligent manner, all in accordance with the Protocol and the terms of this Agreement.
The Development Program. The establishment of the Development Area and the resulting pledge of local incremental revenues (and State incremental revenues for eligible projects) are intended to provide the City and its Agency with the flexibility to encourage series of projects designed to promote the redevelopment of the Development Area and a renewal of ▇▇▇▇▇▇▇▇▇’▇ downtown. Some of these projects have been proposed for years, others are currently in the pre-development stages, while others may occur in the future in response to market conditions, available financing, or as other projects develop. The Development Program. The City’s designation of the District and adoption of this Development Program allows for the City to fund activities and projects to be supported by the District Property owners, and also coordinate services to ensure effective delivery and proper support for tourism promotion while building on existing revitalization efforts and protection of public and private investment. The travel industry is a major economic driver for the City and Maine. Visitor spending not only supports tourism-related businesses but also the local artists, lobster/fishing community, cultural institutions, food & beverage establishments, and small businesses that residents alone could not support year-round. Therefore, it is in the public interest of the City, and vital to the welfare of the City’s economy, to facilitate and encourage cooperating public-private partnerships where lodging properties become partners with the City for the enhancement and expansion of the travel economy and to provide for increased business activity, tourism, economic development and job creation throughout the District. The term of the District will commence when established by the City Council and continue indefinitely until the Council takes action to terminate or amend the District. District Property owners may submit a petition to the City Council at any time requesting that the District be terminated, which the City will consider in accordance with applicable law. Under this Development Program, projects as listed below in Table 1 will be executed through an agreement with a development program manager (the “Development Program Manager”). This Development Program is structured and proposed pursuant to Chapter 206 of Title 30-A of the Maine Revised Statutes, as amended (the “Statute”). The designation of the District and adoption of the Development Program are effective upon approval by the City Council, evidenced by Exhibit C and Exhibit D hereto.
