Availability Targets Clause Samples

The Availability Targets clause sets specific performance standards for the uptime or accessibility of a service or system. It typically defines the minimum percentage of time that a service must be operational over a given period, such as 99.9% uptime per month, and may outline how availability is measured and reported. This clause ensures that both parties have a clear understanding of expected service levels, helping to manage expectations and provide recourse if the agreed targets are not met.
Availability Targets. PowerSchool will make commercially reasonable efforts to ensure that each of the hosted PowerSchool Software provided as part of the SaaS Subscription is available for Customer to access (“Availability”) at a level of 99.9% per month. The uptime target excludes items that are referenced in Section 5.5 (Downtime Exclusions) below. Downtime tracking will be measured on a 24/7/365 basis. The table below outlines the conditions that will be applied for the tracking of availability.
