Baseline Adjustment. The baseline conditions set forth in section 6 above may, by mutual agreement of the Parties, be adjusted if, during the term of the Agreement and for reasons beyond the control of the Cooperator, the utilization of the enrolled property by the covered species or the quantity or quality of habitat suitable for or occupied by the covered species is reduced from what it was at the time the Certificate of Inclusion was issued.
Baseline Adjustment. The Baseline conditions set forth in Part 4 of this Agreement may, by mutual agreement of the Parties, be adjusted if, during the term of the Agreement and for reasons beyond the control of the District, the utilization of the Enrolled Property by the Covered Species or the quantity or quality of habitat suitable for or occupied by the Covered Species is reduced from that present at the time the Agreement was negotiated.

The Monthly Resource Baseline for which a variance exists between (a) the Monthly Resource Baseline shown on Attachment 4-D (Resource Baselines) for CPU Hours and Server Instances – Service Tier Matrix Resource Units and (b) the DIR Customers’ actual usage of Resource Units in respect of such CPU Hours and Server Instances – Service Tier Matrix Resource Unit as of the Commencement Date, the original projected Monthly Resource Baseline for each Contract Year shall be increased or decreased (as applicable) in the aggregate (i.e. preserving the original trends over time of increase or decrease in consumption) by the amount of such variance. For clarification, if a Resource Unit Category was originally projected to have volume changes over the Term, then the baseline adjustment due to True-Up should preserve those projected variations.
Baseline Adjustment. Unforeseen circumstances could involve habitat impacts resulting from catastrophic (force majeure) events such as hurricanes, flash floods, severe drought, lethal forest fires, or insect/disease epidemics. Such events are beyond the reasonable control of the Cooperator, and did not occur through fault or negligence, including but not limited to “acts of God” or sudden actions of the elements such as those described above. Such catastrophes could either locally destroy the species population or render the habitat unsuitable, thereby reducing population numbers or occupied acreage below the original baseline conditions. For such circumstances beyond the control of the Cooperator, the Cooperative Agreement could be terminated, or NDOW and the Service could agree to revise the baseline conditions to reflect the new circumstances.

If ENGIE Services U.S. proposes changes to the Facilities that would not unreasonably interfere with the conduct of District’s business or cause District to incur additional costs, and District does not consent to the changes, then ENGIE Services U.S. will adjust the Baselines upward by the amount of savings projected from the changes.

If Chevron Energy Solutions proposes changes to the Facilities that would not unreasonably interfere with the conduct of Manhattan Beach USD's business or cause Manhattan Beach USD to incur additional costs, and Manhattan Beach USD does not consent to the changes, then Chevron Energy Solutions will adjust the Baselines upward by the amount of savings projected from the changes.

To account for this, the baseline is adjusted to reflect Asset load during the event day. This is called the baseline adjustment. The baseline adjustment is the difference between the Asset’s average load during the hour starting the 2 hours before the event start and the load during the event day. However, the Asset’s load may be lower during an event day than the last 10 similar days because the Asset is responding to the event. Therefore, the adjustment can only be positive. Baseline Adjustment. Baseline conditions set forth in the respective CA’s may, by mutual agreement of the ODFW, the Service and the applicable Cooperator, be adjusted if, during the term of the CA and for reasons beyond the reasonably foreseeable control of the Cooperator, the utilization of the Enrolled Properties by the Oregon chub or the quantity or quality of habitat suitable for or occupied by the Oregon chub is changed from what it was at the time the CA was executed.
Baseline Adjustment. If OpTerra Energy Services proposes changes to the Facilities that would not unreasonably interfere with the conduct of ConFire’s business or cause ConFire to incur additional costs, and ConFire does not consent to the changes, then OpTerra Energy Services will adjust the Baselines upward by the amount of savings projected from the changes.
