Basis of Design. Owner shall be responsible for providing those items of information defined as “Rely Upon” in the Basis of Design and for providing to Contractor the information or items specified in Attachment U, subject to Contractor’s obligation to provide information to Owner as specified in Attachment U. In accordance with Section 4.8 of the Agreement, Owner shall remain fully responsible for the accuracy, completeness and sufficiency of such information. All other information constituting the Basis of Design or otherwise required for performance of the Work shall be provided or developed by Contractor, as applicable, and Contractor shall be fully responsible for the accuracy, correctness and completeness thereof, and the provisions of Section 2.5A of the Agreement shall apply with respect to all such information provided or developed by Contractor or otherwise required for performance of the Work (other than the information, as specified in the preceding paragraph, which is the responsibility of Owner).

The following are excluded from the Work: (i) treatment of the Feed Gas upstream of Unit 11 including the complete removal of oil due to the operation of 00C-2402 Pipeline Gas Compressor; (ii) seismic measurement equipment except as specified for LNG Tank B; (iii) provisions at the property line for mitigation of thermal radiation, operational noise, and overpressure; and (iv) permanent building office furniture.

Section 4.7 of the Agreement shall govern information identified in Section 3.0 of Attachment 21 as “Rely Upon”. Basis of Design. (Not Included)
Basis of Design. The specifications shall consist of a general description of the Project and shall include a Basis of Design to satisfy the needs of the program. This shall include all the design parameters that affect the design of the building systems. For example: the hours of occupancy; the design and temperature for heating and cooling; the floor loading; the number of occupants; and the foot-candle design in various spaces.

1.2 In accordance with your request, we will perform the tasks outlined below for subject project. It is agreed that these tasks will be provided as Additional Services in accordance with our original agreement for this project, dated October 13, 2021. All terms and conditions, including assumptions and exclusions, of the original agreement remain in effect unless modified in this Additional Service.

Basis of Design. Within [***] after the Effective Date (or such other period as agreed by the Parties), Amneal shall provide to the JCC a draft set of plans and specifications for each Phase of the New Facility, which includes, among other things, preliminary estimates of the initial budget, timelines and design overview (with respect to each Phase, the “Proposed Basis of Design”). The Proposed Basis of Design shall be consistent with the following (“Design Standards”): (a) Construction Standards, (b) the Metsera Design Information, (c) the Detailed Description and (d) international engineering standards for similar projects. Metsera shall fully cooperate with Amneal in providing promptly any information (including Metsera Design Information) to Amneal that Amneal determines is necessary with respect to the Products in order to prepare the Proposed Basis of Design. The JCC has the right to approve the final Proposed Basis of Design. Following the approval by the JCC of the Proposed Basis of Design for a Phase, the version of the Proposed Basis of Design that is approved by the JCC shall be the “Basis of Design” for such Phase.
