Best Effort. The Parties will use their best effort in completing the transaction. Each transaction has it’s inherit risk.

Best Effort. Both Oglethorpe and the Withdrawing Member shall use their reasonable best efforts to take all actions required to satisfy all conditions precedent to the effectiveness of the Member’s withdrawal as provided in Article I and shall cooperate with the other party in obtaining all necessary consents and approvals required thereby.

Best Effort. During the Term hereof, and subject to the provisions of this Agreement, the VAR shall use its best efforts to promote and market the Software Product in the Target Market. Actively undertake marketing efforts, including: (a) ensuring that its marketing representatives are conversant in the features and operation of the Software Product; (b) demonstrating the Software Product to prospective End-Users; (c) disseminating ESRO-approved marketing literature, news releases and product descriptions, and (d) including descriptions of the Software Product in any standard catalogue of software published or distributed by the VAR. ESRO will provide available graphic files for suitable marketing literature which will be in a form which may be altered to suit local market standards and norms, however all rights to NOD32, ESET, and all associated images and trademarks will remain as the exclusive property of the Owner and all marketing literature prepared by ESRO will be owned and approved by the ESRO.

Best Effort. Full-time. Employee will expend Employee's best efforts on behalf of Company, and will abide by all policies and decisions made by Company, as well as all applicable federal, state and local laws, regulations or ordinances. Employee will act in the best interest of Company at all times, Employee shall devote Employee's full business time and efforts to the performance of Employee's assigned duties for Company, unless Employee notifies Company in advance of Employee's intent to engage in other paid work and receives Company's express written consent to do so.

Best Effort. The Contractor shall use best efforts to utilize community resources and covered mental health services to minimize State Hospital admissions. 15.7.1. The Contractor or designee shall use best efforts to secure an appointment, within 30 calendar days of release from the facility, for medication, evaluation and prescription re-fills for Enrollees discharged from inpatient care, to ensure there is no lapse in prescribed medication. This may be arranged with providers other than Subcontractors of the Contractor. 15.7.2. The Contractor shall use best efforts to offer covered mental health services for follow-up and after-care as needed when the Contractor or Subcontractor are aware that an Enrollee has been treated in an emergency room for a psychiatric condition. These services shall be offered in order to maintain the stability gained by the provision of emergency room services.

Best Effort. The Consultant agrees to apply his best efforts in providing services to Unisys.

Best Effort. Subject to the provisions of this Article 11, the prevented Party may suspend the performance of its obligations under this Agreement within the duration and scope of the influence of Force Majeure until such influence is removed, provided, however, that such Party shall make its best efforts to eliminate the barriers in performing this Agreement caused by Force Majeure and minimize the losses resulting from Force Majeure. Subject to the mutual agreement of the Parties, the term of this Agreement may be extended by the duration of influence of Force Majeure, and neither Party shall be thus penalized.

Best Effort. Between the date of this Agreement and the Closing Date, the Parties will use their best effort to cause the conditions in ARTICLE VIII to be satisfied.

Best Effort. The Consultant will use his best efforts to successfully provide for VMRI the Services.
