During the term of this Agreement and for 12 months following the termination of this Agreement, Partner will not, solely or jointly with others, induce or attempt to induce any client of Athena to cease doing business with Athena or in any way interfere with the relationship between Athena and such client.

The Bank of New York Mellon Corporation has adopted an incentive compensation scheme designed (i) to facilitate clients gaining access to and being provided with explanations about the full range of products and services offered by BNY Mellon Affiliates and (ii) to expand and develop client relationships. This programme may lead to the payment of referral fees and/or bonuses to employees of BNY Mellon Affiliates who may have been involved in a referral that resulted in the obtaining of products or services by the Security Provider covered by this Agreement or which may be ancillary or supplemental to such products or services.
