Coming Into Effect. This Agreement replaces and supersedes the Second 2021 Amended and Restated Agreement and is effective and in full force and effect in accordance with its terms from and after the reconfirmation by resolution passed by a majority of greater than 50% of the votes cast by all holders of Voting Shares of the Corporation who voted in respect of reconfirmation of this Agreement at the annual meeting of the Corporation’s shareholders held on May 1, 2024 or any adjournment or postponement thereof.

Coming Into Effect. This Agreement comes into effect when the Parties have executed it and, where it has been executed in counterparts, on the date the last Party signing the Agreement executes it.

Coming Into Effect. This Agreement replaces and supersedes the 2018 Amended and Restated Agreement and is effective and in full force and effect in accordance with its terms immediately prior to the Effective Time, provided that, for greater certainty, if the Effective Time does not occur this Agreement shall be of no force or effect.
