Compensatory Payments. As soon as reasonably practicable after the Effective Time (but no later than fifteen (15) days after the Effective Time), Parent or Purchaser shall pay, or shall cause to be paid, through the Surviving Company’s or the applicable Subsidiary’s payroll the aggregate Cash Amount payable hereunder with respect to Company Options and Company RSU Awards (without interest and subject to deduction for any required withholding Tax as contemplated in Section 3.7) (e.g(e) ., with respect to payments made to a current or former Company employee); provided, however, that to the extent that withholding taxes are not required to be deducted and withheld by applicable Law (e.g., the holder of a Company Option is not, and was not at any time during the vesting period of the Company Option, an employee of the Company or its Subsidiary for employment tax purposes), the consideration payable pursuant to Section 3.5 with respect to such Company Option or Company RSU Award shall be deposited in the Payment Fund and paid by the Paying Agent in the manner described in this Section 3.6.
Compensatory Payments. Notwithstanding anything in this Agreement to the contrary, any payments that are compensatory in nature (including, for the avoidance of doubt, any Transaction Expenses) required to be made hereunder to an employee of the Company or the Subsidiaries shall in the first instance be made to the Company (or the Subsidiaries, successor or assignee, as applicable), so that the Company (or the Subsidiaries, successor or assignee, as applicable) may make such payment through the appropriate payroll account or process and net of any applicable Tax withholdings.

12.2 The Parties accept that the establishment of this benefit, and their payment to Employees, are contingent on the Employers’ ability to recoup the amounts from clients and customers.
Compensatory Payments. Notwithstanding anything herein to the contrary, this Article V shall not apply to any Compensatory Payments, the payment of which shall be as set forth in Sections 3.05 hereof.

Parent shall cause the Surviving Company to pay (i) to each recipient of a Sale Bonus Payment, the amount of such Sale Bonus Payment set forth on the Distribution Schedule, and (ii) to each holder of a Company Phantom Unit, the amount payable at the Closing with respect thereto as set forth on the Distribution Schedule, in each case, subject to such recipient’s or holder’s execution and delivery to the Company of a duly executed Bonus Receipt Agreement in the form attached hereto as Exhibit G (“Bonus Receipt Agreement”), and subject to withholdings that are required to be made under any federal, state, local or foreign Tax law with respect to such payments. Such amount shall be paid to the recipient or holder no later than the later of (A) the Closing Date, or (B) the next regularly scheduled pay day of the Surviving Company after receipt of the Bonus Receipt Agreement (provided, that if a Bonus Receipt Agreement is received more than three (3) Business Days prior to the Closing Date, the amount payable thereunder shall be paid on the Closing Date). Notwithstanding anything to the contrary in this Agreement, none of Parent, the Surviving Company or other Affiliates of Parent shall be liable to a recipient of a Sale Bonus Payment or a holder of a Company Phantom Unit for any amount delivered to a public official pursuant to and as required by any applicable abandoned property, escheat or similar Law, if such person fails to duly execute and deliver the related Bonus Receipt Agreement.
Compensatory Payments. The Government acknowledge the importance of these payments, especially to low income farmers and, as stated above, regard the efficient and timely payment of headage as a major priority. It is the Government’s intention to ensure an adequate level of resources to fund the scheme and a sum of million was provided for headage in the 1994Budget. The Government will press for a rapid decision from the EU on their proposal for an extension and reclassification of Disadvantaged Areas and, following a positive decision, are committed to its implementation.

10.1 Any compensatory payment in respect of the last year of this tenancy or whether partly in respect of the last year or any period after the expiry of this tenancy shall if received by the Tenant is held upon trust by the Tenant for the Landlord and ▇▇▇▇▇▇ respectively
10.2 The eventual destination of such compensatory payment whether all to the Landlord or all to the Tenant or whether it is to be divided between them shall be negotiated between the parties and in default of agreement shall be decided by arbitration and the arbitrator shall take into account all the relevant factors and in particular the date on which this tenancy terminates
Compensatory Payments. £10 compensation will be paid for late breaks or staff on annualised hours may claim 30 or 45 minutes of time back. This £10 (or time back) will only apply to meal breaks outside of the meal break window and not for the interrupted breaks (see below). We anticipate that late breaks will be an exception as we intend that staff will be stood down within their meal break window. Staff who volunteer to take a flexible break and their break is interrupted are entitled to claim £20 regardless of how many times they are disturbed. In summary, compensatory payments are as follows: • £5 away from base payment (incorporates the Annex N payment and is an extension of this payment). Note: Your meal break location is your base station, unless you consent otherwise. If a crew cannot agree then the default position is to go back to station. • £10 late meal break payment (or time back) • £20 flexibility payment (paid to staff willing to be disturbed during their lunch break) • Other subsistence allowances under Annex N still apply. Compensatory Payments. Notwithstanding anything in this Agreement to the contrary (but subject to Exhibit E, which shall govern payment of the Earnout Company Group Bonus Payments), any payments that are compensatory in nature (including, for the avoidance of doubt, the Closing Company Group Bonus Payments and any applicable Selling Expenses) required to be made hereunder to a current or former employee of the Company Group shall in the first instance be made to the applicable member of the Company Group (or its successors or assignees, as applicable), so that such member of the Company Group (or its successors or assignees, as applicable) may make such payment through the appropriate payroll account or process, net of any applicable Tax withholding.
Compensatory Payments. Notwithstanding any provision in this Agreement to the contrary, to the extent payment of any consideration under this Agreement with respect to Common Shares, shares of Series B Preferred Stock, Phantom Common Shares or Phantom Series B Shares shall be treated as compensation income subject to income and employment tax withholdings (“Management Equity Compensation”), then Buyer, the Paying Agent or the Escrow Agent shall make any such payments to the Company and the Company shall on behalf of Buyer, the Paying Agent or the Escrow Agent, make such payment, net of all applicable Tax withholdings thereon, to the holder of such Common Shares, shares of Series B Preferred Stock, Phantom Common Shares and Phantom Series B Shares through the Company’s payroll system, and the Company shall satisfy and be responsible for remitting all Tax withholdings thereon.
