Condition Precedent for Payment Clause Samples

A Condition Precedent for Payment clause establishes that certain specific requirements or events must be fulfilled before a party is entitled to receive payment under a contract. For example, this may include the completion of particular project milestones, submission of required documentation, or obtaining necessary approvals. By setting these prerequisites, the clause ensures that payment is only made when agreed-upon conditions are met, thereby protecting the paying party from premature or unwarranted disbursements.
Condition Precedent for Payment. ‌ Each obligation of each Party to pay any amount due under this Agreement (other than an amount that is due under section 4.5.2) above is subject to the condition precedent that no Event of Default (or event, act or omission which, with the passing of time and/or the giving of notice, will give rise to an Event of Default) has occurred and is continuing with respect to the other Party, provided, that any deferred payment obligation shall be accounted for and settled on a net basis on the later of (a) the date the relevant Event of Default or potential Event of Default is cured or waived, and (b) the scheduled termination date of the Transaction with the latest scheduled termination date in existence, on the date the deferral commences.
Condition Precedent for Payment. It is understood and agreed that all payments by Contractor to A/E for the Scope of Work or Services, or for Additional Services or Reimbursable Expenses, shall become due and payable by Contractor to A/E within ten (10) days of Contractor’s actual receipt of payment from Owner. Contractor’s actual receipt of payment from Owner for the Services and Scope of Work and any alleged Additional Services shall be an absolute, express condition precedent to Contractor’s obligation to pay A/E. A/E assumes the risk of non-payment by Owner for any reason, including the creditworthiness of such persons or entities.
