Contract IP Sample Clauses

The 'Contract IP' clause defines the ownership, use, and rights related to intellectual property created or used under the contract. Contract IP a. All Intellectual Property Rights in the Contract IP vest in us upon their creation unless we agree otherwise in the Engagement Letter. b. We will grant to you a non-exclusive, royalty-free, irrevocable, non-transferable licence to use the Contract IP solely, and only to the extent necessary, for you obtain the benefit of and enjoy the Services in the ordinary course. We may terminate or suspend this licence if you do not pay when due our fees and other amounts under the Agreement. c. The licence in clause 13.2(b) does not include any right to use our name, our business names, our logos or our trademarks on any of your products, websites, social media, documents or services without our prior written consent.
Contract IP. The Contractor agrees that all Contract IP will be vested in the Principal and will be the Principal's property as and when created and the Contractor assigns and must ensure that all of its personnel assign all of their respective rights, title and interest in and to the Contract IP (whether created before, on or after the date of signing this Contract) to the Principal.
Contract IP li any Contract IP is delivered, provided or otherwise made available to a Relevant Company, such Contract IP shall be for the benefit and ownership of that Relevant Company. Supplier assigns all right, title and interest in and to the Contract IP (whether created before, on or after the Commencement Date) to the Relevant Company, free and clear of all liens, charges, hypothecs, security interests, claims, third party rights to use or acquire such Contract IP or other encumbrances whatsoever and shall cause any Subcontractor engaged in the creation of any Contract IP to do the same. At the Relevant Company’s request, Supplier shall deliver any formal assignment or other document required to give effect to this Section 40.2.
Contract IP. The Contractor agrees and acknowledges that all Contract IP including any Intellectual Property Rights in any Design will be vested in and owned by Sydney Water immediately on creation. To the extent that the preceding sentence does not vest ownership of any Contract IP in Sydney Water, and/or to the extent that the Contractor may at any time acquire any right, title or interest in any Contract IP, the Contractor assigns all right, title and interest in that Contract IP to Sydney Water and at the request of Sydney Water, the Contractor agrees to execute a deed of assignment in the form required by Sydney Water or any other document required by Sydney Water to effect any assignment referred to in this subclause.
Contract IP. (1) The Engineer agrees that all the Contract IP, if any, will be vested in the Town and will be the Town’s property as and when created, discovered or conceived of by or on behalf of the Engineer. The Engineer assigns all rights, title and interest in and to the Contract IP including the Engineering Material (whether created before, on or after the Contract Date) to the Town. (2) The Engineer waives, and shall ensure that its Personnel waive, in favour of the Town, all moral rights pursuant to the Copyright Act (Canada) or otherwise, in respect of any Contract IP produced pursuant to the Contract. (3) On the Town’s request, the Engineer must execute any formal assignment or other document required to give effect to this section 4.1.
Contract IP. (a) The ownership of any Contract IP vests in the Supplier from the time of creation. (b) The Supplier irrevocably and unconditionally grants to the School Council, free of additional charge, a non- exclusive, worldwide, perpetual, transferable licence (including the right to sub-license) to use, reproduce, adapt, modify, publish, distribute and communicate any Contract IP.
