(a) The Parties agree that the version of Rate 125 to which the terms and conditions of this Agreement refer is the version approved by the OEB in the Natural Gas Electricity Interface Review Rate Order dated December 20, 2006, rather than the version of Rate 125 applicable as of the date of this Agreement, subject to any amendments and revisions to Rate 125 which may be approved by the OEB subsequent to the date of this Agreement. Subject to the foregoing, the Parties agree that the version of Rate 125 in effect from time to time shall be incorporated into and form part of this Agreement. The Parties further agree that in the event of material changes to Rate 125 that they will enter into good faith negotiations regarding any necessary amendment to the terms and conditions of this Agreement. (b) The Company has agreed to a different Contract Demand for billing purposes, which is referred to as the “Billing Contract Demand”. The Billing Contract Demand is initially estimated to be ● m3. Within ● months of completion of the installation and commissioning of the above-noted distribution line(s) and related infrastructure which the Company has determined is required to be installed to service the Terminal Location, the Company will establish the final Billing Contract Demand based on the actual costs incurred to complete such installation and commissioning, and shall notify the Customer of such final Billing Contract Demand. The final Billing Contract Demand so established will be used for purposes of this Agreement for the duration of the Term. In addition, an adjustment will be made in respect of bills rendered to the Customer on or prior to the date of notification of the final Billing Contract Demand to reflect the actual charges which should have been paid by the Customer as a result of any difference between the estimated Billing Contract Demand and the final Billing Contract Demand.
(c) The Company and the Customer agree that, so long as the Terminal Location is serviced by a dedicated distribution line, the metering equipment at the connection of such distribution line to the Gas Transporter(s) will be used for all purposes of this Agreement, as if such metering equipment were located at the Terminal L...
