Control Group Clause Samples

Control Group. The term "Control Group" means a ------------- controlled group of corporations of which the Company is a member within the meaning of Section 414(b) of the Code, any group of corporations or entities under common control with the Company within the meaning of Section 414(c) of the Code or any affiliated service group of which the Company is a member within the meaning of Section 414(m) of the Code.

Control Group. In addition to the 20 active participants in C.A.R.E., 20 additional supervisees (district-wide) will be identified by the Probation Office as the C.A.R.

Control Group. This data will be maintained by the designated individual to be identified (i.e.: CUSPO, DCUSPO, Unit Chair, or other). The data collected on this control group will be used to offer a comparison between the success rates of participants in C.A.R.E. and those on traditional supervision.

Control Group. Purchaser shall not form or participate in a "group" (as defined in Rule 13d-5 of the Exchange Act) with respect to any Company Securities.

Control Group. If Franchisee is a corporation, a limited liability company or a partnership, Exhibit 1 lists those persons who we and you have designated as your "Control Group" who, at all times, shall own at least 51% of all legal and beneficial ownership interests in you. In the event of any change in the Control Group or in the ownership interests of any member of the Control Group, you shall timely provide us written notice of the change.

Control Group. We will assign approximately 4,800 beneficiaries to this group. If you are randomly placed in this group, you will continue to be subject to our usual SSDI program rules. You will not receive the special BOND rules. You will have access to the work incentives available under the usual SSDI rules outlined above. You will also have access to Work Incentives Planning and Assistance (WIPA) services available from the WIPA program in your area. A Work Incentives Coordinator at the WIPA program can help you understand how working will affect your benefits under the usual SSDI rules and can assist you in getting employment help. If you return to work, you need to report your work activity and earnings to us right away.

Control Group. The Control Group will be created for analysis and research purposes. These 20 people will parallel the selected participants in their current status on supervision or pre-supervision, and will be tracked by the Probation Office over a one-year period. Neither the supervisee nor the supervising Probation Officer will know the supervisee is a member of the C.A.R.E.

Control Group. The Purchaser and Edua▇▇▇ ▇▇▇ ("▇az") ▇cknowledge that upon the purchase of the Shares the Purchaser will be a qualifying member of the "control group" of the Corporation as defined in 47 CFR Section 24.720(k) and Paz will be a "Qualifying Minority and/or Woman Investor" as defined in 47 CFR Section 24.720(n). The Purchaser and Paz covenant and agree that at all times during which the Purchaser owns any Common Stock, the Purchaser and Paz will not, without the prior written consent of the Corporation, assign or transfer control or any ownership interest of the Purchaser to any person or entity unless, following such assignment or transfer, the Purchaser shall continue to be a qualifying member of the control group, and the transferee of any interest currently owned by Paz shall continue to be owned by a Qualifying Minority and/or Woman Investor. The Purchaser hereby grants to the Corporation a future right to inspect the minute book, stock ledger and stock records of the Purchaser in order to confirm the ownership status of the Purchaser.

Control Group. In addition to identified active Participants in the CASA program, a group of additional supervisees may be identified by Pretrial Services as the CASA program Control Group. The members of the Control Group will be tracked by Pretrial Services over at least a two-year period. Data regarding the Control Group will be maintained by the Chief Pretrial Services Officer and/or designated delegees who are not responsible for supervision of any member of the Control Group. The data collected on the Control Group will be used to offer a comparison between the success rates of Participants in the CASA program and those who are convicted and sentenced through ordinary procedures. Members of the Control Group who after the two-year tracking period satisfy the criteria for participation in the Central District of California’s STAR program (a program available to selected defendants serving a term of supervision as part of their sentence) will be given priority for participation in the STAR Program.
