Customer Policies and Procedures. In addition to Customer responsibilities under this Agreement, Customer agrees to institute and maintain and enforce procedures and policies to insure that Internet-accessed Services are only used by authorized Users for authorized activities and transactions on Customer’s behalf. These procedures must include, among other measures, internal controls, procedures to ensure that terminals used to access the Internet Services are attended only by authorized Users while accessing the Internet Services and that sessions are fully terminated when authorized use is completed. Customer must also ensure that authorized Users use Login Credentials only as authorized and only for the specific modules or Services for which the authorized User has authority. Bank is not responsible if any authorized User exceeds the limits of the User's authority. Customer understands that the Internet is inherently insecure and that all data communications and transfers occur openly on the Internet and can be monitored, intercepted, rerouted, copied and read by others. To reduce the likelihood of such third party access, ▇▇▇▇▇▇▇▇ agrees to transmit and receive data and messages through the Internet Services using only software acceptable to Bank and to follow the other Security Protocols.
Customer Policies and Procedures. The Contractor shall comply with any and all laws, rules, ordinances, policies, procedures and regulations, including any licensing and permitting requirements, applicable to providing the Products/Services anticipated under this Contract. The Contractor, including its employees and agents, shall be responsible for knowing the Customer’s applicable policies and procedures concerning appropriate behavior of persons in Customer facilities and, on Customer properties, including for example, the prohibitions of sexual harassment and smoking, and shall comply with all such policies; provided Contractor had notice of the policy and procedure The Customer shall use its best efforts, as reasonably requested by the Contractor, to assist the Contractor to comply with any and all applicable federal, state or local laws, rules and regulations. The Contractor represents and warrants to the Customer that it shall to at all times be in compliance with any and all applicable federal and state laws, rules, ordinances, policies, procedures (to the extent Contractor is aware of same) and regulations and licensing and permitting requirement applicable to providing the Products/Services.
Customer Policies and Procedures. Cooperation. While at Customer’s site, all Personnel shall comply with Customer’s reasonable site safety and security policies, provided they are first provided in writing in advance to Ricoh, do not conflict with this Agreement or any Order Form, and do not impose any additional financial or legal burden on Ricoh. Customer shall provide access to its facilities, networks, systems, and Customer personnel, and otherwise cooperate with Ricoh in the design, implementation, delivery, administration and management of the Services.
Customer Policies and Procedures. First Security agrees to comply with reasonable Customer Policies and Procedures that have been agreed to by First Security and are annexed to this Agreement; or that are notified to First Security and are not inconsistent with the terms of this Agreement and do not require First Security to act in a manner that in First Security’s opinion would be unlawful, unreasonable, impact materially on the cost of providing the Services, or could expose First Security or its employees or other persons to unnecessary risk or harm. (a) Where First Security has agreed in writing to comply with a Customer Policy, and that Customer Policy contains terms that are inconsistent with this Agreement, the terms of this Agreement will take precedence. (b) First Security may give notice at any time of any objection to any current or intended Customer Policies and Procedures and the parties will discuss and negotiate in good faith to resolve any such objection. (c) In the event of any situation where, in First Security or a Guard’s reasonable opinion, complying with the Customer Policies and Procedures would conflict with First Security or its Guards’ obligations to act in a lawful, reasonable, appropriate or safe manner; failure to comply with the Customer Policies and Procedures shall not be a breach of First Security’s obligations under this Agreement and First Security shall have no liability to the Customer or any third party for any outcome or consequence.

  • Policies and Procedures i) The policies and procedures of the designated employer apply to the employee while working at both sites. ii) Only the designated employer shall have exclusive authority over the employee in regard to discipline, reporting to the College of Nurses of Ontario and/or investigations of family/resident complaints. iii) The designated employer will ensure that the employee is covered by WSIB at all times, regardless of worksite, while in the employ of either home. iv) The designated employer will ensure that the employee is covered by liability insurance at all times, regardless of worksite, while in the employ of either home. v) The designated employer shall have exclusive authority over the employee’s personnel files and health records. These files will be maintained on the site of the designated employer.

  • Violence Policies and Procedures The Employer agrees to have in place explicit policies and procedures to deal with violence. The policy will address the prevention of violence, the management of violent situations, provision of legal counsel and support to employees who have faced violence. The policies and procedures shall be part of the employee's health and safety policy and written copies shall be provided to each employee. Prior to implementing any changes to these policies, the employer agrees to consult with the Association.

  • Compliance Policies and Procedures To assist the Fund in complying with Rule 38a-1 of the 1940 Act, BBH&Co. represents that it has adopted written policies and procedures reasonably designed to prevent violation of the federal securities laws in fulfilling its obligations under the Agreement and that it has in place a compliance program to monitor its compliance with those policies and procedures. BBH&Co will upon request provide the Fund with information about our compliance program as mutually agreed.

  • Company Policies and Procedures 7.1.1 The Company will ensure that Employees are able to readily access Company policies and procedures that apply to the Employees. 7.1.2 The Employees will observe and act in accordance with Company policies and procedures that apply to the Employees, as implemented and amended from time to time.

  • COMPLIANCE WITH POLICIES AND PROCEDURES During the period that Executive is employed with the Company hereunder, Executive shall adhere to the policies and standards of professionalism set forth in the Company’s Policies and Procedures as they may exist from time to time.
