Customized Services. If Purchaser and Sprint mutually agree in writing that Sprint and Purchaser should investigate the feasibility of providing implementation, customization, interface development or other specialized services that are not included under this Agreement (“Customized Services”) the parties will formalize such agreement through the Work Order Policy & Process contained in the Private Label Operations Manual. The parties will work under the Work Order Policy & Process only if they initially agree to investigate the feasibility of providing Customized Services and nothing in this Section 6.8 will be construed as an obligation to provide Customized Services.
Customized Services. Customized services can be provided as needed. Additional fees will be assessed as out-of-pocket expenses for performing non-standard services such as generating specialized reports, arbitrage calculations provided by third parties, default administration, custody services, etc. Additional fees may be assessed for excessive administration time or other duties required as mandated by future laws or regulatory agencies. Fees will be determined commensurate with the type of service and the time and responsibility involved.

Customized Services. 2.3.1 Upon request, the Service Provider offers products tailored to the User for use, such as interfaces for connecting to the User's software and User-specific interactive campaigns («Customized Services»).
2.3.2 The scope of the Customized Services shall be specified in the Order Form. The Service Provider shall ensure that the Customized Services comply with the defined specifica- tions and are performed at the agreed times. An on-time provision of Customized Services requires that no delays occur for which the User is responsible.
2.3.3 The Customized Services provided or parts thereof shall be tested by the User within thirty (30) days of their provision («Test Pe- riod») in order to ensure that they comply with the relevant specifications («Test»). The provisions on the Test pursuant to this clause shall not apply to Customized Ser- vices that are not intended to be tested. If a Customized Service does not meet its specifications, the Service Provider shall be granted two (2) attempts to remedy this circumstance. A Customized Service shall be deemed accepted if no written com- plaint is made within the Test Period (by E- mail or other form of text).
2.3.4 Before a Customized Service has been pro- vided, the User may at any time request the Service Provider to make an appropri- ate change. A change request must be con- firmed by the Service Provider for it to be binding. The User acknowledges that any change may affect the schedule and costs.
Customized Services. The Parties will formalize the requirements for any Customized Services through the Work Order process contained in the Private Label Operations Manual. Nothing in this Section 5.8 will be construed as an obligation to purchase Customized Services. Purchaser may, in its sole discretion, from time to time request that Sprint provide a Customized Service. If Purchaser makes such a request, Purchaser will provide Sprint with a “Business Request Document” or “BRD” under the Work Order process for any requested Customized Services and the parties will thereafter work together to negotiate in good faith the terms of a definitive Work Order in accordance with the Work Order process. If the requested Customized Service is within the existing technical capabilities of the applicable Facilities and is otherwise within or related to the scope of this Agreement, then Sprint will work in good faith with Purchaser within the Work Order process; provided, however, Sprint will not arbitrarily discriminate against Purchaser in establishing priorities or timelines and any disparate treatment will be based on Sprint’s reasonable analysis of relevant factors applied consistently across both its retail and wholesale operations. If the requested Customized Service is not within the existing technical capabilities of the applicable Facilities or is not otherwise within or related to the scope of this Agreement, then Sprint may elect to work in good faith with Purchaser within the Work Order process, but will not be compelled to do so. All Customized Services will be provided by Sprint at cost, without markup or margin. In the case of labor, “cost” means the rate Sprint uses for internal accounting purposes for similar work that it performs for Sprint and its Affiliates. This rate as of the Effective Date is $[***] per hour. Sprint shall perform the work required under Schedule 5.0 (the Technical Services and Integration Statement of Work) in accordance with this Agreement. Section 5 of Schedule 5.0 identifies the integration work to be performed by Sprint that shall be treated as a Customized Service (the “Customized Integration Work”). Any amounts payable by Purchaser for the Customized Integration Work in excess of the applicable not-to-exceed amount set forth in Section 4 of Schedule 5.0 shall be solely for Sprint’s account.
