Definition of Project. Dell and UniPixel will engage to develop display products utilizing UniPixel technologies, for integration into Dell computer products. UniPixel technologies will be integrated into Dell products by Dell third party manufacturing partners, including, but not limited to, LCD makers or ODMs (the “Manufacturing Partners”). Dell shall be granted a license by UniPixel to incorporate UniPixel technologies into Dell products for resale, and such license and licensing terms may be extended by Dell to the Manufacturing Partners. Should Dell decide not to proceed with Phase 2 or Phase 3, UniPixel shall have the option to terminate this SOW with thirty (30) days written notice to Dell's designated Program Manager.

Definition of Project. The work is shown on the drawings that are attached to this contract as appendix 1, and specified by the 23 construction operations attached to this contract as subcontract proposals in appendix 2. The following aspects of the work will be built as specified in the drawings:
a. Siting of the building(s) as shown on the site plan.
b. Configurations and dimensions of building(s) and rooms as shown on floor plan sheets.
c. Additional interior and exterior work determined by CES during construction. It is understood that the drawings have been obtained for building permit purposes, and are not to be construed as bind- ing architectural plans and specs.

APPENDIX 1 AGREEMENT AND AUTHORIZATION This agreement (Agreement) between ▇▇▇▇▇▇▇▇▇▇ County, South Dakota (Customer) and New World Systems® Corporation, (New World) is to cover the procurement of Third Party products and services by New World for Customer. The attached configuration (Exhibit 1) describes the Third Party products and services that Customer will be obtaining through New World. By their written approval below, Customer authorizes New World to order the Exhibit 1 products for delivery to: Upon execution of this Agreement, a down payment of 50% of the Exhibit 1 cost is due. The balance is due upon delivery of the hardware. Customer agrees that failure to pay the amount billed within thirty (30) days will result in a daily finance charge equal to .1% (.001) of the Exhibit 1 cost. If applicable, the finance charge will be computed and invoiced separately based on the receipt of Customer's payment to New World for Exhibit 1 amounts due. Customer agrees to pay all applicable finance charges (if any) promptly. Customer is responsible for the site preparation and related costs to install the Exhibit 1 products. Customer is responsible for any returned product charges, including re-stocking and shipping fees, for all 3rd party products ordered by New World on the Customer’s behalf. Actual and reasonable travel expenses incurred by New World, and actual employee travel time up to but not exceed four (4) hours per Customer visit, are in addition to the Exhibit 1 cost and will be billed weekly as incurred.
