Delivery of Monthly Financial Statements. Prior to the Closing, Seller shall deliver to Purchaser financial statements for each fiscal month ending after the date of this Agreement (the "Monthly Financial Statements") within fifteen days after the end of such fiscal month. All Monthly Financial Statements delivered pursuant to this Section 4.3 shall be prepared in accordance with GAAP and in a manner consistent with past practice.
