Existing Structure Clause Samples
The 'Existing Structure' clause defines the status and condition of any buildings or improvements already present on a property at the time an agreement is made. It typically outlines the responsibilities of the parties regarding the maintenance, repair, or disclosure of issues related to these structures, and may specify whether the property is being sold or leased 'as is' or subject to certain repairs. This clause ensures that both parties are clear about the state of existing buildings, helping to allocate risk and prevent disputes over the condition of the property after the transaction.
Existing Structure. As referenced in Sections 3.03 and 4.04 of the Purchase Agreement, the Capitalization Schedule sets forth the issued and outstanding Company Units and PEF Options held by each Seller as of the date of the Purchase Agreement. A schematic summarizing the existing structure is attached to this Schedule as Chart I.
Existing Structure. Nothing may be suspended from the existing roof structure without the structural engineers written permission.

Existing Structure. 17.1 Except to the extent DELCOM is specifically responsible for any structural element per the SOW Agreement, BUYER represents and warrants that the existing structure, including without limitation any existing steel, walls, columns, tresses, footings, hoists attachment points, wiring, power supplies, or any other foundation or existing structural elements (the “Existing Structure”) shall be adequate to support the weight, size, wind load, and all other technical specifications of the Equipment and shall hold DELCOM harmless from any failure of any Existing Structure.
Existing Structure. Except to the extent that Formetco explicitly assumes responsibility for any structural element in accordance with the Agreement, Buyer represents and warrants that the existing structure that will support the Product, including without limitation any existing steel, walls, columns, tresses, footings, hoists attachment points, wiring, or any other foundation or existing structural elements (collectively, the “Existing Structure”) shall be adequate to support the weight, size, windload, and all other technical specifications of the Product, and Buyer agrees to indemnify and hold Formetco harmless for any failure of any Existing Structure or any losses, damages, claims or liabilities arising from or relating to any such failure. Formetco recommends that Buyer has the Existing Structure reviewed and certified by a licensed structural engineer. In the event changes to the Existing Structure are required prior to the Install, a Change Order will be required.
Existing Structure. 2.1.1. The chart attached as Section 3.3.1 of the IESI Disclosure Letter sets forth as of the date hereof the organizational structure and ownership of IESI and its subsidiaries.
