FUTURE ASSIGNMENTS. UDAC may, in its sole and absolute discretion, accept additional Assignments or enter into other credit arrangements involving me, all of which will be subject to the terms of this Agreement. Nothing in this Agreement shall be construed as a commitment by UDAC to accept future Assignments from, extend loans or make other financial accommodations involving me or anyone else.

FUTURE ASSIGNMENTS. If Mortgagor obtains mortgage financing secured by the Mortgaged Property and the proceeds of such new mortgage financing are applied to repay the Obligations in full, then in place of delivering a discharge, satisfaction, or release of this Mortgage, the Mortgagee shall at Mortgagor's request, deliver to the new lender an assignment of this Mortgage, all in form reasonably satisfactory to Mortgagee. Effective upon Mortgagee's assignment of this Mortgage, the Mortgagee shall be released from any remaining obligations and liabilities under the Indenture and Collateral Agreements.

FUTURE ASSIGNMENTS. The Borrower shall not create or permit any lien, charge, or encumbrance of the Leases or of the Rents, and shall not pledge, transfer, or otherwise assign the Leases or the Rents unless at the Lender’s request, or unless otherwise agreed to by the Lender in writing.

FUTURE ASSIGNMENTS. Subject to Section 23, Seller may from time to time, at Seller’s option, sell, transfer and assign different Accounts to AEC. The future sale of any Accounts shall be subject to and governed by this Agreement and such Accounts shall be identified by separate and subsequent Assignments. Pg 12 of 20

FUTURE ASSIGNMENTS. As contemplated by the Grant of Easements, Assignee hereby reserves the right to further assign its rights, duties and obligations under the Grant of Easements and the Easements to future owners of the Nobel Research Park or to any incorporated or unincorporated association whose members constitute the members of the Nobel Research Park.

FUTURE ASSIGNMENTS. The Grantee and Assignee agree that neither the Grantee nor the Assignee shall assign, sublet, or transfer (whether by assignment or novation) this Agreement or any rights under or interest in this Agreement. Notwithstanding the preceding sentence in this Paragraph 11(C), claims for money due to Grantee or Assignee from SANDAG under this Agreement may be assigned to a bank, trust company or other financial institution without such approval. Notice of such assignment or transfer shall be promptly furnished to SANDAG in writing.

FUTURE ASSIGNMENTS. The Employment Agreement may be assigned by GWDS to any of its subsidiaries or affiliates, the successor to the business of GWDS as a result of a transfer of all or substantially all of the assets or membership interests of GWDS or any of its subsidiaries or affiliates.
