General Certification. All information which the Investor has provided to the Partnership or the Managing General Partner or any of their Affiliates or representatives concerning the Investor, its status, financial position and knowledge and experience of financial, tax, and business matters or, in the case of an the Investor that is an entity, the knowledge and experience of financial, tax and business matters of the person making the investment decision on behalf of such entity, is correct and complete as of the date of the Investor’s execution and delivery of this Subscription Agreement. The Investor represents that all the information, financial or otherwise, which it has furnished to the Partnership or the Managing General Partner or any of their Affiliates or representatives in connection with this subscription, including the information set forth herein and all representations, warranties and agreements contained herein, is correct and complete as of the date of this Subscription Agreement and, if there should be any material change in such information, the Investor shall immediately notify the Partnership and the Managing General Partner and shall furnish such revised or corrected information to the Managing General Partner.
