Handover Requirements. In the event of termination by Transporter or expiry of this Agreement, Transporter shall forthwith:
(A) provide all information reasonably requested by Project Co relating to the Services provided under this Agreement, including all documentation relating to the cargoes delivered pursuant to this Agreement; and
(B) provide such technical and operational handover support for a period of no more than ninety (90) Days as reasonably requested by Project Co to transition the administration of the DES SPA to Project Co or Project Co's designated representative. For the avoidance of doubt, during such transition Project Co may engage one or more Persons other than the Transporter to provide the Services.
Handover Requirements. RESPONSIBILITIES OF THE CONTRACTOR The Contractor shall provide the Services in accordance with this contract. The Contractor shall provide qualified English-speaking personnel, in accordance with the submitted proposal, as necessary to perform the Services under this Contract. The key persons shall be available for possible tasks related to the Services throughout the duration of the Contract period. Any replacement of the key personnel shall be made in accordance with Clause 4 of IRENA’s General Terms and Conditions for Professional Services. PERMITS, NOTICES, LAWS AND ORDINANCES The Contractor shall obtain and pay for all permits and inspections necessary for the proper execution and completion of the Services that are customarily obtained upon execution of this Contract and that are legally required at the time of implementation of this Contract. The Contractor shall give all notices required by the nature of the Services. RESPONSIBILITIES OF ▇▇▇▇▇ ▇▇▇▇▇ shall designate members of its staff to act as points of contact for the Contractor to ensure that the Services are carried out in accordance with this Contract, and shall promptly notify the Contractor thereof. ▇▇▇▇▇ shall respond promptly to requests for information by the Contractor regarding the Services. As built documentation, drawings and data packs shall be delivered and approved as a condition for handover. All passwords (including those necessary for calibrations) for the hardware or software must be handed over to client as part of the hand-over documentation

Handover Requirements. Without prejudice to any other provision in this Agreement, the Concessionaire shall procure that on the Handover Date, the Port Facility shall be in a condition that:
(a) allows the Port Facility to operate as a commercial container and general cargo terminal on competitive terms capable of handling container and general cargo vessels; and
(b) ensures that the capacity and levels of performance of the Port Facility and the Equipment meet the requirements of the Technical Specification and of the Minimum Service and Equipment Investment Requirements, for a period of five (5) years for the Equipment and a period of thirty (30) years for the Project Facility beyond the Handover Date, provided that the Port Facility is operated and maintained from the Handover Date in accordance with Good Industry Practice (the "Handover Requirements").
