Implementation Documents. 1. The Borrower, through MAVDT, has adopted an operational manual (the Operational Manual or OM) for the Project, dated November 18, 2010, satisfactory to the Bank, setting forth rules, methods, guidelines, standard documents and procedures for the carrying out of the Project, including, inter alia, the following: (a) (i) the detailed description of Project implementation activities, their sequencing and the prospective timetable and benchmarks in relation thereto; and (ii) the detailed institutional arrangements in respect thereof; (b) the distinction between: (i) Subprojects-I and Subprojects-III, where Subproject Developers will be contracted to carry out the investments under Parts 1.B (i) and 1.B (iii) of the Project (respectively) and structuring agents will be contracted separately to carry out the technical assistance under Part 1.A of the Project; and (ii) Subprojects-II, where the contract with the Subproject Developer will include both, the investments and the technical assistance required for such investments, as described in Part 1.B (ii) of the Project; (c) the Project’s administrative, accounting, auditing, reporting, financial, procurement and disbursement procedures, including all pertinent standard documents and model contracts in relation thereto; (d) the eligibility criteria for Subprojects, including: (i) the rules for their selection, approval, implementation, monitoring and evaluation; and (ii) the exclusion from the Project of any Subprojects which, in the Bank’s opinion, would merit an Environmental Classification A under the Bank’s Operational Policy 4.01; (e) the timing and amounts of third-party guarantees and/or counterpart contributions required from Subproject Developers for each phase of Subprojects-I and Subprojects-II; (f) the EMF and SMF; (g) the guidelines and arrangements for the training and capacity building activities under the Project; (h) the final form of the interim unaudited financial reports and Financial Statements for the Project and the terms of reference for the technical, environmental and financial audits of the Project; (i) the plan for the monitoring and supervision of the Project, including all technical, environmental, and social aspects in relation thereto; and (j) the performance indicators for the Project. 2. Implementation Documents. The PMT will finalize design in accordance with Base Program and within Target Cost and obtain a permit for the Construction Work. The Implementation Documents list will be incorporated into the Project Objective as Exhibit B-5 through Amendment to the Agreement.

Implementation Documents. 1. The Recipient shall cause BMPAD to continue to carry out the Project in accordance with the Operational Manual, including the Environmental Management Framework and the Procurement Plan. 2. In the event that any provision of the Operational Manual, the Environmental Management Framework and/or the Procurement Plan shall conflict with any provision under this Agreement, the terms of this Agreement shall prevail. 3. The Operational Manual may only be amended from time to time in consultation with, and after approval of, the Association.

The Recipient shall carry out Parts A, B and C of Project, and cause BOM to carry out Part C of the Project, as the case may be, pursuant to the Project Implementation Manual and the Financial Management Manual. 2. The Recipient shall not amend, suspend, waive, cancel or abrogate the Project Implementation Manual and the Financial Management Manual and/or any provisions thereof, nor allow the Project Implementing Entity to do so, without the prior written concurrence of the Association. 3. The Recipient undertakes to cause the MOF, MoSWL and the Project Implementing Entity to: (a) prepare, by no later than September 15 of each year, commencing on September 15, 2010, and furnish to the PSC and the Association for review and concurrence, a draft Annual Implementation Plan for the following Fiscal Year, which plan shall identify the Project activities under their Respective Parts of the Project by sub-component, detailing their related expenditures and financing sources; and (b) thereafter, implement the Project activities during the respective Fiscal Year pursuant to such plan as so discussed with, and agreed by, the Project Steering Committee and the Association.
Implementation Documents. Save with the consent of the Parties (such consent not to be unreasonably withheld), each of the Implementation Documents: (a) have been agreed between the Parties (acting reasonably) and the addressees thereto; and (b) where applicable, are duly signed but not dated and an electronic copy of such Implementation Documents have been delivered to Debtors’ Counsel in accordance with the authorisations set out in Clause 8 (Authority to Date and Release Implementation Documents), in each case to be held pending release in accordance with Clause 9 (Effective Date) below.
Implementation Documents. (a) The Recipient, through SOPTRAVI, shall adopt a Project operational manual (the Operational Manual), acceptable to the Association, therein setting forth rules, methods, guidelines, policies and standard documents for the carrying out of the Project, including inter alia, the following: (i) (A) the detailed description of Project implementation activities, their sequencing and the prospective timetable and benchmarks in relation thereto; and (B) the detailed institutional arrangements in respect thereof; (ii) the Project’s administrative, accounting, auditing, reporting, financial, procurement and disbursement procedures, including all pertinent standard documents and model contracts in relation thereto; (iii) the criteria for the selection of the Micro-enterprises; (iv) the ESMF, the IPP, the GAP, the GAP Priority Measures and the Resettlement Plan for the Project, and other safeguard procedures referred to in paragraph D of this Section I; (v) the plan for the training and the capacity building activities under the Project; (vi) the plan for the monitoring and supervision of the Project, including all environmental, economic and social aspects in relation thereto; and (vii) the Performance Indicators for the Project. (b) The Operational Manual may be amended by the Recipient from time to time with the prior written approval of the Association.
