INFORMATION SYSTEM SERVICES. During the term of this Agreement, NWESD agrees, through NWRDC, to provide to District information system services as set forth in the Appendix A, which outlines the software, service levels, roles and responsibilities of NWRDC to District in support of student, business and personnel related software packages offered by ▇▇▇▇▇ including software support, amount and method of customer support, performance levels, and availability of staff, of this Agreement.
INFORMATION SYSTEM SERVICES. Lifemark shall provide information systems services, including support and maintenance services, to AlohaCare through the software system Managed Care One in the same fashion and to the same extent as during the term of the First ASA. Lifemark agrees to make all necessary alterations or upgrades to Managed Care One to allow AlohaCare (i) to provide covered services to service (to the same extent and in the same fashion as if such members were added during the term of the First ASA) aged, blind or disabled members that are added to AlohaCare's membership during the term of this Agreement and (ii) to comply with its QUEST contract; provided, however, that, in the event that substantial changes are required to Managed Care One's systems reporting capability, Lifemark shall discuss with QUEST officials alternative means of providing the same information.
INFORMATION SYSTEM SERVICES. 52 STOCK AND ASSET PURCHASE AGREEMENT THIS STOCK AND ASSET PURCHASE AGREEMENT, dated as of July 27, 2000 (this "AGREEMENT") is by and among Unifrax Holding Co. ("Unifrax Holding"), Unifrax Corporation ("UNIFRAX"), Unifrax Australia, NAF Brazil Ltda ("Unifrax Brazil") and Unifrax GmbH (together with any designee of Unifrax, the "BUYERS"), and SEPR, the Carborundum Company Ltd ("Carborundum Ltd"), Carborundum Deutschland, Carborundum Australia, and Carborundum do Brasil.

The Consulting Services and other services that Manager shall provide in connection with the Business’ Information Systems include: 1. Oversee the operation of the primary and, if applicable, secondary data centers. The fees, costs, and expenses for managing and operating such centers are Reimbursable Costs. 2. Manage vendor relationships, renewals and new contracts. 3. Develop an IT infrastructure that will enable the mutually agreed upon strategic plan. 4. Create or purchase software/application solutions including the development and coordination of business requirements; vendor selection; product evaluation; contract negotiations. The fees, costs, and expenses for such software/applications are Reimbursable Costs. 5. Plan for new IT products or services and oversee the implementation and management of same. The fees, costs, and expenses for such products and services are Reimbursable Costs. 6. Arrange for the support and management of the following: a. end users’ desktop experience, including desktop, printer, keyboard, and mouse; b. end users’ mobile experience, as needed, including mobile device management and tablets; c. multi-function printer solution, including faxing and scanning; d. video conferencing solution; e. information technology applications applicable to the Faculty Practice, including EHR; f. telecommunication services (including telephone, internet, data circuit, local and long distance) related to the Faculty Practice; g. server infrastructure (virtual server and physical server); h. data storage infrastructure (SAN, NAS, XIO); i. data backup infrastructure (Avamar, Data Domain);

  • Information Systems The Customer is aware that vehicles manufactured, supplied or marketed by a company within the Volvo Group are equipped with one or more systems which may gather and store information about the vehicle (the “Information Systems”), including but not limited to information relating to vehicle condition and performance and information relating to the operation of the vehicle (together, the “Vehicle Data”). The Customer agrees not to interfere with the operation of the Information System in any way.

  • Information Services Traffic 5.1 For purposes of this Section, (a) Voice Information Service means a service that provides [i] recorded voice announcement information or [ii] a vocal discussion program open to the public, and (b) Voice Information Service Traffic means intraLATA switched voice traffic, delivered to a Voice Information Service. Voice Information Service Traffic does not include any form of Internet Traffic. Voice Information Service Traffic also does not include 555 traffic or similar traffic with AIN service interfaces, which traffic shall be subject to separate arrangements between the Parties. Voice Information Service Traffic is not subject to Reciprocal Compensation charges under Section 7 of the Interconnection Attachment. 5.2 If a BTLLC Customer is served by resold Verizon dial tone line Telecommunications Service or a Verizon Local Switching UNE, to the extent reasonably feasible, Verizon will route Voice Information Service Traffic originating from such Service or UNE to the appropriate Voice Information Service connected to Verizon’s network unless a feature blocking such Voice Information Service Traffic has been installed. In addition to any other charges for such Voice Information Service Traffic, BTLLC shall pay to Verizon without discount any Voice Information Service provider charges billed by Verizon to BTLLC. BTLLC shall pay Verizon such charges in full regardless of whether or not BTLLC collects such charges from its own Customer. 5.3 BTLLC shall have the option to route Voice Information Service Traffic that originates on its own network to the appropriate Voice Information Service connected to Verizon’s network. In the event BTLLC exercises such option, BTLLC will establish, at its own expense, a dedicated trunk group to the Verizon Voice Information Service serving switch. This trunk group will be utilized solely to allow BTLLC to route Voice Information Service Traffic originated on its network to Verizon. In addition to any other charges for such Voice Information Service Traffic, BTLLC shall pay to Verizon without discount any Voice Information Service provider charges billed by Verizon to BTLLC . BTLLC shall pay Verizon such charges in full regardless of whether or not BTLLC collects such charges from its own Customer.

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation.
