Insert IT Roster Language. The services under this SOW shall be performed on a time and materials basis in accordance with the billable rates and hours detailed in the Resource Roster for this SOW. Independent Contractor shall complete the initial Resource Roster prior to execution of this SOW. Changes to the Resource Roster requires written approval by the Buyer Contract Administrator and Independent Contractor. Buyer Contract Administrator, or Delivery Lead shall submit a new Resource Roster including the changes to Independent Contractor personnel to the Buyer IT Resource Management Office via ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇▇▇▇.▇▇▇ no later than seven (7) days prior to the effective date of the change. Buyer is not liable to pay for any labor performed by resources not on a fully approved Resource Roster on or before the resources start date. Resources that are not included on this Resource Roster shall not be entered into Buyer's time reporting tool (MSP or other). The above Agreement is agreed to by both parties as witnessed by their respective signatures below.   • Suggested Language The following provides a debarment and suspension clause. It incorporates an optional method of verifying that contractors are not excluded or disqualified. (1) This contract is a covered transaction for purposes of 2 C.F.R. pt. 180 and 2 C.F.R. pt. 3000. As such, the contractor is required to verify that none of the contractor’s principals (defined at 2 C.F.R. § 180.995) or its affiliates (defined at 2 C.F.R. § 180.905) are excluded (defined at 2 C.F.R. § 180.940) or disqualified (defined at 2 C.F.R. § 180.935).   • Governing Language This Agreement has been negotiated and executed by the parties in English. In the event any translation of this Agreement is prepared for convenience or any other purpose, the provisions of the English version shall prevail.

  • Mandate Letter language The Funder will receive a Mandate Letter from the Ministry annually. Each Mandate Letter articulates areas of focus for the Funder, and the Ministry’s expectation that the Funder and health service providers it funds will collaborate to advance these areas of focus. To assist the HSP in its collaborative efforts with the Funder, the Funder will share each relevant Mandate Letter with the HSP. The Funder may also add local obligations to Schedule D as appropriate to further advance any priorities set put in a Mandate Letter.
