Inspection; Verification. Secured Party, and such persons as it may designate, shall have the right from time to time to (i) audit and inspect (a) the Collateral, (b) all books and records related thereto (and make extracts and copies from such records), and (c) the premises upon which any of the Collateral or books and records may be located; (ii) discuss Debtor’s business, operations, affairs or condition (financial or otherwise) with its officers, accountants; and (iii) verify the validity, amount, quality, quantity, value, condition and status of, or any other matter relating to the Collateral in any manner and through any medium Secured Party may consider appropriate (including contacting account debtors or third party possessing the Collateral for purpose of making such verification). Debtor shall furnish all assistance and information and perform any acts Secured Party may require regarding thereto. Debtor shall bear the cost and expense of any such inspection and verification.
Inspection; Verification. 4.18.1 The Power Producer shall be further required to provide entry to the Premises of the Project free of all encumbrances at all times during the Term of PPA to Procurer and Nodal Agency. The Lenders and Lender‟s Representatives shall be provided access to the Premises of the project by the Procurer/Building Owner (as the case may be) so as to enable Lenders to conduct regular site inspection. 4.18.2 Nodal Agency shall be responsible for inspection and verification of the Project works being carried out by the Power Producer at the Premises. If it is found that the construction works/ operation of the Project is not as per RFP/ PPA, it may seek clarifications from Power Producer or require the works to be stopped or to comply with the instructions of Nodal Agency.

In addition to inspections as outlined above (and only to the extent exercised concurrently with such inspection and to a reasonable extent), the Administrative Agent or its designee shall have the right, upon reasonable notice to and consultation with the Borrower Representative, to make test verifications of the Accounts and other Collateral and physical verifications of the Inventory and other tangible items of the Collateral at the expense of the applicable Pledging Borrower and in any manner and through any commercially reasonable medium that the Administrative Agent considers advisable, and each of the Pledging Borrowers agrees to furnish all such assistance and information as the Administrative Agent may require in connection therewith. Any inspection pursuant hereto shall, at the option of the applicable Pledging Borrower, occur in the presence of an officer of a Borrower. Inspection; Verification. During regular business hours and after reasonable notice to the Borrower, and subject to the limitations set forth in Sections 2.9(d) and (g), the Agent and each of the Lenders (by any of its officers, employees, agents, representatives, or designees, including another Lender) shall have the right to inspect the Borrower's Collateral and to inspect and audit, all books, records, journals, orders, receipts, or other correspondence related thereto (and to make extracts or copies thereof as the Agent may request) and to inspect the premises upon which any of the Collateral is located for the purpose of verifying the amount, quality, quantity, value, and condition of, or any other matter relating to, the Collateral; provided, that, upon the occurrence of an Event of Default (unless waived in writing by the Required Lenders), the Agent and the Lenders may exercise such access and other rights at any time the Agent or any Lender deems such action necessary or desirable. In addition to inspections as outlined above, the Agent or its designee shall have the right, upon reasonable notice to and consultation with the Borrower and subject to Section 5.6, to make test verifications of the Accounts and other Collateral and physical verifications of the Inventory and other tangible items of the Collateral at the expense of the Borrower and in any manner and through any commercially reasonable medium that the Agent considers advisable, and the Borrower agrees to furnish all such assistance and information as the Agent may require in connection therewith. The Borrower at its expense will prepare and deliver to the Agent at any time and from time to time promptly upon the Agent's request, the following reports: (a) a reconciliation of all its Accounts, (b) trial balances, and (c) a test verification of such Accounts as the Agent may request, provided, that the Agent may make such request only at such time as (i) the aggregate amount of all Accounts exceeds One Million Dollars ($1,000,000) or (ii) an Event of Default has occurred and is continuing. The Agent shall deliver to each of the Lenders copies of each audit report prepared pursuant to this Section 4.9 and all other reports prepared and delivered to the Agent pursuant to this Section 4.9.
Inspection; Verification. During regular business hours and with prior notice and after reasonable notice, to the Company, the Bank (by any of its officers, employees, agents, representatives, or designees) shall have the right to inspect the Company's Collateral and to inspect and audit, all books, records, journals, orders, receipts, or other correspondence related thereto (and to make extracts or copies thereof as the Bank may desire) and to inspect the premises upon which any of the Collateral is located for the purpose of verifying the amount, quality, quantity, value, and condition of, or any other matter relating to, the Collateral, provided, however, that upon the occurrence and during the continuance of an Event of Default, the Bank may exercise such access and other rights at any time the Bank deems such action necessary or desirable. In addition to inspections as outlined above, the Bank or its designee shall have the right to make test verifications of the Accounts Receivable and other Collateral and physical verifications of the Inventory and other tangible items of the Collateral in any manner and through any commercially reasonable medium that the Bank considers advisable, and the Company agrees to furnish all such assistance and information as the Bank may require in connection therewith. The Company shall pay the costs for each of one such inspection and one such verification in each 12-month period; provided that if an Event of Default has occurred and is continuing, the Company shall pay the costs of all such inspections and verifications.

The Secured Party’s rights under this Section 15 shall be subject to the provisions of Sections 8.1.5 and 11.9 of the Credit Agreement.
Inspection; Verification. All Products ordered may be subject to: i. Inspection, verification, or testing during the period of manufacture; ii. Inspection or verification prior to shipment; and iii. Final inspection and acceptance at destination, notwithstanding any prior payment or inspection and acceptance. If any inspection or test is made on the premises of Seller or its lower-tier suppliers, Seller shall, without additional cost, provide and shall require its lower-tier suppliers to provide all reasonable facilities and assistance for the safety and convenience of Buyer and Buyer’s Customer Inspectors in the performance of their duties.
Inspection; Verification. 5.1 Purchaser or his authorised representative shall have the right to make the inspections and verifications they consider necessary in order to verify that the Goods are manufactured in accordance with the conditions of this Purchase Agreement. Such inspections and verification may be made at Supplier’s facilities, and/or at any of his subcontractor’s facilities. Supplier shall give necessary assistance in carrying out these inspections and verifications. Supplier shall, if requested by Purchaser, supply to Purchaser test reports, materials certificates, calculations etc. 5.2 The above mentioned inspections and verifications do not exempt Supplier from responsibility for the Goods according to this Purchase Agreement. The same applies if Supplier provides Purchaser with technical or other documentation for Purchaser’s review or approval.
Inspection; Verification testing 7.1 The products shall be carefully inspected and tested by Atlas Copco prior to delivery. If additional inspections, verifications or tests have been agreed, Atlas Copco shall determine the time at which these can be performed and shall notify the buyer of this. The buyer or a representative designated by buyer is authorized to be present during the inspection, verification or testing. The inspection, verification or testing shall be performed regardless of whether the buyer makes use of the above-mentioned authorization. The results shall be made available to the buyer. 7.2 If the inspection, verification or test has to be performed entirely or partly by one or more persons who are not employed by Atlas Copco and these persons do not show up at the designated time, then the inspection, verification or test shall be deemed to have taken place to the satisfaction of the buyer, unless the buyer states that the inspection, verification or test still needs to take place within 3 days after the buyer became aware of the no-show. 7.3 If and to the extent that verification and/or inspection in Atlas Copco's premises by Atlas Copco has not been agreed, the buyer shall test the products at the latest by 5 days after delivery as stipulated in Article 4, unless a longer time period has expressly been agreed. 7.4 If this time period has lapsed without written and specified notification of justified complaints, the products shall be deemed as having been accepted. 7.5 Without prejudice to Atlas Copco's obligation to fulfill its warranty obligations, acceptance according to the previous paragraphs shall exclude any and all claims of the buyer regarding a shortcoming in Atlas Copco's performance. 7.6 The presence of a defect shall never entitle the buyer to suspend or set off his payment obligations regarding delivered or provided goods, products or work rendered and/or services.
