JOINT PROJECTS. A Program of Research for a Joint Project may be proposed by Novartis or Rigel submitting to the other a Program Proposal. Within thirty (30) days of receipt of a Program Proposal the receiving party shall determine whether it has any agreement with a Third Party which would prevent it from agreeing to conduct pursuant to this Agreement the Program of Research identified in the Program Proposal and notify the proposing party accordingly. If the receiving party is free to conduct the Program of Research pursuant to this Agreement, the Parties shall meet to determine whether they will agree to conduct such Program of Research pursuant to this Agreement. If so, the CMC shall meet promptly to prepare a mutually agreeable description of the Program of Research to be attached as an exhibit to this Agreement, to specify the number of FTEs which will be utilized, the Commencement Date and the number of FTEs as well as the resources to be allocated at Novartis. If the receiving party is not free to conduct the Program of Research pursuant to this Agreement, neither Party shall have any obligation or liability to the other with respect to such Program of Research.
JOINT PROJECTS. The Parties may jointly conduct appropriate mutual interest projects to maintain or improve the fire protection capability of the Parties. Such projects will be properly documented in a Supplemental Project Agreement signed by each Party prior to starting the project, which agreement shall include an explanation of the objectives of each undertaking and the role each Party will play in accomplishing that objective. Any shared cost or reimbursements will be governed in accordance with the Supplemental Project Agreement.
JOINT PROJECTS. For the purpose of enhancing ties between Member States in the productive sectors, utilizing economies of scale, achieving economic integration, and improving the distribution of integration benefits among them, Member States shall undertake the measures necessary to support, finance, and form joint projects, both private and public, including the following:
1. Adopt integrated economic policies between the Member States for infrastructure projects and basic services such as transport; communications; electricity; information technology; health, education, and tourism projects; and oil and gas industry.
2. Establish joint projects based on comparative advantages of Member States.
3. Provide additional incentives for the private sector to form joint projects that interlink the economic interests of GCC citizens.
4. Eliminate all procedural obstacles encountering joint projects and according them, at a minimum, the same treatment given to similar national projects.
JOINT PROJECTS. Joint Projects means research program(s) approved by the Parties for performance jointly by the Parties in respect of the Program pursuant to a Statement of Work.
JOINT PROJECTS. It is intended that the allocation of proceeds is to be fairly allocated based on the materials and services provided. The Company is not to receive a windfall from the allocation of sale proceeds, and it is not to subsidize the profits of Performance or Pinnacle by charging disproportionately low prices for the services to be performed by the Company. The selling expenses (sales commissions, travel and other sales related expenses) incurred in connection with a Joint Project are be allocated among the parties providing materials and services for the Joint Project either (a) by the agreement of the Company, Performance and Pinnacle, or (b) if they do not so agree, by the Board of the Company. The collection risks are to be borne proportionately between each of the service providers. 4.1 A particular objective of the Alliance is to identify appropriate Projects for joint research or other collaboration between the Parties, particularly in the field of [specify field]. 4.2 Joint research or other Projects to be undertaken by the Alliance will be agreed and directed by the Management Committee who shall:
4.2.1 Establish financial resources for the Project (including any minimum financial commitments of the Parties) and allocate personnel to research Projects approved by the Management Committee including the appointment of a Project Manager to lead a Project team;
4.2.2 Approve specific research plans; and
4.2.3 Develop specific performance targets and periodically review progress.
4.3 After the Management Committee has approved plans for a particular Project, the Project team shall coordinate and implement all day-to-day activities of the Parties. The Project team shall work openly and cooperatively and shall meet periodically, as the Project Manager determines to be necessary, to coordinate their activities. Each party shall, through the Project Manager, periodically submit to the Management Committee progress reports in relation to its activities under each joint research Project.
4.4 A more detailed Project contract shall, where considered appropriate by the Parties, be entered into in relation to a particular joint research or other collaborative Project to be funded by the Parties.
JOINT PROJECTS. The County and the State may jointly conduct appropriate mutual interest projects from time to time to maintain and improve the parties’ emergency services and fire protection capability. Such projects will be documented and will set forth the objective of each undertaking and the role each agency will play in accomplishing that objective. The documentation shall show the anticipated cost, the amount of each agency’s share of the cost, and the anticipated duration of the undertaking. Project specific work agreements may be developed to exchange funds between the County and State.
JOINT PROJECTS. Through the collaborative efforts described herein, two or more Jurisdictions may elect to undertake a joint Project involving all or a subset of the Jurisdictions. Examples of potential joint Projects include cooperative marketing campaigns, grant submittals and grant administration for Projects that cross jurisdictional borders, industry cluster meetings, goods movement studies, mapping, and a joint business development website for the region.
