THE OBJECTIVES. WNI and TalkCity agree that their mutual goal is to work in partnership to integrate TalkCity's content (hereinafter called "TalkCity Content" and further described in Exhibit A) into the WebTV Network Service, such that both parties realize benefits from such presentation and utilization of TalkCity Content by WebTV Subscribers. It is agreed that by presenting TalkCity Content in a uniquely useful and appealing way to WNI's increasingly broad WebTV Subscriber base, that TalkCity will incur increased network traffic, presence and market appeal for its content and service offerings. It is further agreed that TalkCity Content will augment both the desirability and utility of the WebTV Network Service to its subscribers and further broaden the appeal of WebTV Product and WebTV Network Services. The parties, therefore, agree to the following terms, which support their mutual goals and agreements, though it is recognized that due to the newness of such endeavors and the evolving and increasingly competitive nature of the Internet that, in the enactment of this partnership, both parties will need to exert their reasonable commercial efforts in unanticipated ways to bring about the success of this Agreement, such as being prepared to engage in further discussion and negotiation of various emerging issues or unexpected conditions that need to be resolved between the parties as time passes and market assumptions are tested. BASIC TERMS OF AGREEMENT
THE OBJECTIVES. 2.1 Each of the Members acknowledges that the purpose and objectives of Rail North consists of the following: 2.1.1 promoting and improving rail services in the Rail North Area; 2.1.2 arranging for the carriage of passengers by railway between locations in Great Britain; 2.1.3 managing the performance of the relevant Franchisee's obligations under the Franchise Agreements; and 2.1.4 supporting the delivery of the long term rail strategy of the Members, together, the "Objectives". In carrying out the Objectives, Rail North shall not be required to exceed the powers contained in the constitution of each Member and shall have the powers set out in the Rail North Articles. 2.2 Each of the Members undertakes to the other Members that it shall: 2.2.1 exercise all voting rights and powers of control available to it in relation to Rail North so as to give full effect to the terms and conditions of this Agreement; 2.2.2 procure that the Directors nominated by it and its other representatives will support and implement all reasonable proposals put forward at meetings of Rail North for the proper development and conduct of the Objectives as contemplated in this Agreement and procure that all third parties, directly or indirectly under its control, shall refrain from acting in a manner which is likely to hinder or prevent Rail North from carrying on the Objectives in a proper and reasonable manner having regard to and without prejudice to the obligations of the Directors; and 2.2.3 generally to use its best endeavours to promote the Objectives and the interests of Rail North. 2.3 The Parties acknowledge that the matters Rail North shall be responsible for shall include: 2.3.1 agreeing and approving the Rail North Business Plan and related annual budget; and 2.3.2 adopting any Rail North Policies.
THE OBJECTIVES. 6.1 The Partners have agreed to work together and to perform their duties under this Agreement in order to achieve the following Objectives: 6.1.1 Develop an integrated joined up health and care system where the people of Barnsley experience continuity of care – each Partner delivering their part without duplication; 6.1.2 Individuals, families and communities are empowered to take control wherever possible of their own health and wellbeing; 6.1.3 Shift the focus on treating patients with health problems to supporting the community to remain healthy in the first instance; 6.1.4 Embed integrated care that delivers the best value for the Barnsley pound; 6.1.5 Develop population health management approaches to improve health and wellbeing and reduce health inequalities; 6.1.6 Work towards becoming a thriving Place Partnership in accordance with the Place Partnership Development Plan for 2022/23 and beyond; and 6.1.7 Play a pivotal role in delivering our shared vision for Barnsley: a place of possibilities, set out in Barnsley 2030. A healthy, learning, growing and sustainable Barnsley. 6.2 The Partners acknowledge that they will have to make decisions together in order for the Place Partnership arrangements to work effectively. The Partners agree that they will work together and make decisions on a Best for Barnsley basis in order to achieve the Objectives, save for the Reserved Matters listed at Clause 9.
THE OBJECTIVES a. The Parties agree that this Agreement is intended to set forth their agreement only on the topic of the sharing and exchange of CEII between and among the Parties and the protection of CEII received by the Parties pursuant to this Agreement. This Agreement applies only to the sharing and exchange of data for the purposes of performing coordinated transmission planning in fulfillment of the Commission’s Order No. 1000 and/or NERC’s MOD-032 requirements, where the data that may be required to be shared or exchanged may contain or be itself deemed CEII (the “Objectives”). b. This Agreement is not intended to replace the Parties’ own individual and/or regional processes or agreements addressing CEII information normally requested through a Party’s own individual and/or regional CEII request process.

  • PERFORMANCE OBJECTIVES 4.1 The Performance Plan (Annexure A) sets out- 4.1.1 the performance objectives and targets that must be met by the Employee; and 4.1.2 the time frames within which those performance objectives and targets must be met. 4.2 The performance objectives and targets reflected in Annexure A are set by the Employer in consultation with the Employee and based on the Integrated Development Plan, Service Delivery and Budget Implementation Plan (SDBIP) and the Budget of the Employer, and shall include key objectives; key performance indicators; target dates and weightings. 4.2.1 The key objectives describe the main tasks that need to be done. 4.2.2 The key performance indicators provide the details of the evidence that must be provided to show that a key objective has been achieved. 4.2.3 The target dates describe the timeframe in which the work must be achieved. 4.2.4 The weightings show the relative importance of the key objectives to each other. 4.3 The Employee’s performance will, in addition, be measured in terms of contributions to the goals and strategies set out in the Employer’s Integrated Development Plan.

  • Goals Goals define availability, performance and other objectives of Service provisioning and delivery. Goals do not include remedies and failure to meet any Service Goal does not entitle Customer to a Service credit.
