The Research Project. 4.1. The Participants shall execute the Research Project in accordance with the Project Application, the Budget and the ICA. 4.2. The Research Project shall start on [… ] and shall end ultimately on […]. 4.3. Any changes to the Project Application, the Budget or the ICA shall require prior written consent by the Management Board (as defined in the ICA) as well as Hartstichting.

The Research Project. 2.1 The University shall carry out its Project Responsibilities with reasonable skill and care, and in accordance with the timetable and scope set out specifically in the Project Plan (Schedule 2) in connection to The Patents which is the condition precedent of the Research Project. 2.2 At the end of each three month period, The University shall notify Somanta with a progress report on the Research Project setting out the following:- 2.2.1 the work which The University has carried out on the Research Project during the previous three months; 2.2.2 any data and/or results obtained during the previous three months; 2.2.3 the work that The University intends to carry out during the next three months; and 2.2.4 details of any inventions made in the course of carrying out the Research Project as described in the Project Plan. 2.3 Within 14 days of the end of each calendar quarter the parties shall meet to discuss progress on the Research Project in general and in particular The University’s latest progress report submitted under Clause 2.2. The University shall procure that the Project Scientists shall attend such meetings together with such other members of the University’s Project Team as Somanta may reasonably request. This meeting should occur at a destination and time previously agreed by both parties and at Somanta’s expense. 2.4 The University shall use The University’s Project Scientists to carry out and/or supervise The University’s Project Responsibilities. If, due to circumstances beyond the reasonable control of The University, it is necessary to replace any of the University’s Project Scientists then the parties shall promptly meet to discuss potential replacements of equivalent qualification and experience in the Field. The University shall not replace any of The University’s Project Scientists on the Research Project without the prior written approval of Somanta. 2.5 The University shall have discretion following consultation with Somanta to replace other members of The University’s Project Team during the Research Project with replacements of appropriate qualifications, skills and experience in the Field.

The Research Project. The parties will collaborate in the performance of the Research Project, pursuant to the following terms and conditions: 2.1. The Research Project shall include multiple trials as agreed upon by the Parties (the “Trials”), each Trial shall be performed in accordance with a Trial Protocol to be prepared by Rosetta for each Trial and agreed upon by THM (the “Protocol”). Each Protocol will be attached to this agreement as Appendix A1, A2 and so forth and constitute an integral part of this Agreement. The remuneration for each Trial shall be agreed upon by both Parties in advance and shall be specified in a budget schedule, executed by both Parties for each Trial and attached to the Trial’s Protocol (the “Budget Schedule”). The Budget Schedule of each Trial shall be attached to this agreement as ▇▇▇▇▇▇▇▇ ▇▇, ▇▇ and so forth and constitute an integral part of this Agreement, the Protocol and the Budget Schedule collectively hereinafter: the “Protocol Plan”; The Protocol Plan for each Trial shall constitute an integral part of this Agreement. 2.2. The first Trial shall be conducted according to the Protocol attached to this Agreement as Appendix A1 and constituting an integral part thereof (“Protocol A1”). THM and Rosetta shall perform the activities mentioned in Protocol A1. THM shall perform the activities designated to it in Protocol A1 and in any other Protocol, directly or by employing the services of the Fund or any other third party to be agreed between THM and Rosetta (the entity who shall carry out the Trials on the part of THM: “the Research Entity”). 2.3. Rosetta shall oversee the conduct of the Research Project. THM shall designate a senior researcher currently contemplated to be ▇▇▇▇. ▇▇▇▇▇▇ Rechavi (the “Investigator”) to collaborate with Rosetta in carrying out THM’s activities related to the Research Project. 2.4. A part of Rosetta’s activities under the Research Project shall be conducted in the facilities of the Hospital (“Rosetta’s Work”) by Rosetta’s employees and/or agents and/or representatives and/or contractor’s (“Rosetta’s Personnel”). 2.4.1. Rosetta’s Personnel shall be skillful, prudent, professionals and experienced in the field of the Research Project and shall hold any license and be qualified and authorized to perform Rosetta’s Work in accordance with the requirements of the applicable laws, regulations and guidelines. 2.4.2. The Research Project. Cefic-LRI undertakes to sponsor the following Research Project: Pls. insert short description of the project. The details of the research project including the time line and milestones are described in Appendix 1 and summarised in the following table: Table: Deliverables Milestones Timing The Research Institute agrees to carry out the Research Project as described in Appendix 1, and shall ensure that appropriate scientific staff shall be available. The Research Institute shall solely be responsible for the organisation of such co-operation and ensure that all deliverables and milestones are timely delivered. The Research Institute shall put in place necessary legal arrangements for this. This may include sub-contracting which shall not be deemed contrary to Article 5 of the present agreement. The Research Institute agrees to indemnify and hold harmless Cefic, its officers, directors, employees against all damages, liabilities or costs, including reasonable attorneys' fees and defence costs, to the extent caused by the Research Institute's negligent or wilful acts in the performance of the Research Project and the negligent or wilful acts of its subcontractors, except to the extent caused by negligence of Cefic. Notwithstanding anything to the contrary contained in this Agreement, the Research Institute’s total liability under this Agreement shall be limited to the total amount of remuneration pursuant to Article 3. The Research Institute shall publish at least one article related to the Research Project in the open access litterature.

The Research Project. 2.1. The Parties may agree from time to time that Yissum, via its researchers, will conduct one of more Research Project to be financed by the Company, all in accordance with a SOW. Once the Parties decide to begin a new Research Project, the Parties shall enter into a suitable SOW. Each SOW shall, collectively with this Agreement, independent from other SOW, constitute the entire agreement for the specific Research Project, and shall be governed by the terms of this Agreement. 2.2. The Company hereby undertakes to finance performance of a Research Project in accordance with a Research Program and Research Budget, all to be set forth in the applicable SOW. Each SOW shall set forth a mutually agreed upon research fee (inclusive of overhead), plus VAT, if applicable (the “Research Fee”), payable in accordance with the payment schedule to be set forth in the Research Budget, as referenced and set forth in the applicable SOW. Such financing shall be, subject to any earlier termination of the specific Research Project pursuant to this section 2.2, below, in an amount as shall be set forth in the applicable SOW. Because the allocation of expenses in any Research Budget is based on expected expense categories and an expected allocation of specific expenses within each category, such categories and the allocation of expenses among the various expense categories may be modified by the Researcher/s, where reasonably necessary or appropriate during the Research Period, provided that Researcher(s) have obtained the Company’s prior written consent to such modification; it being agreed, however that the aggregate Research Fee shall not be increased without the written consent of the Company. Any such modifications shall be agreed in writing as an amendment to the applicable SOW. The Research Project. 2.1 The parties respective obligations under this Agreement are conditioned upon the execution of the LICENSE AGREEMENTS by ▇▇▇▇▇▇▇. 2.2 After execution of the LICENSE AGREEMENTS, ONCOR, ONCORPHARM and ▇▇▇▇▇▇▇ shall carry out the RESEARCH PROJECT in accordance with the RESEARCH PLAN attached hereto as Appendix A, which defines the primary responsibilities of each party. Appendix B sets forth details of the research staff at ▇▇. ▇▇▇▇▇▇▇▇▇'▇ laboratory that shall be involved in the RESEARCH PROJECT. Appendix A and Appendix B shall be modified in good faith by the parties from time to time to accommodate changes in the RESEARCH PROJECT and the ▇▇▇▇▇▇▇ employees and students participating in the RESEARCH PROJECT; provided, however, that such modifications to either Appendix A or Appendix B shall only become effective through a written amendment to this Agreement executed by all of the parties hereto. 2.3 ONCOR, ONCORPHARM and ▇▇▇▇▇▇▇ shall allocate human resources to their respective responsibilities to EXECUTION COPY conduct the RESEARCH PROJECT substantially as set forth in the guidelines in the RESEARCH PLAN. 2.4 The parties shall use best efforts to carry out their respective responsibilities in the RESEARCH PROJECT. The Research Project. 4.1 In accordance with the principles of freedom and independence of research, the Recipient shall be free to choose the topic within macroeconomics with emphasis on monetary and financial stability issues and to conduct the Research Project in cooperation with the Host Institution. 4.2 Any material re‐definition of the topic, or other material changes or developments to the Research Project in cooperation with the Host Institution, which may affect the scope and purpose of the Scholarship, shall be reported to and accepted by the Committee in advance. 4.3 Upon finalization of the Research Project, the Recipient shall inform the Committee and provide to the Committee two printed copies and an electronic copy of the final thesis or articles submitted for the PhD degree.
