License to Use Data. Participant represents and warrants that Participant has the right to the OPR Data and is legally authorized and permitted by all applicable state and federal laws to submit the OPR Data to the Registry. Participant understands and agrees that Participant’s identity will be removed and its OPR Data will be aggregated with data contributed by other participants. The aggregated database will be used to create benchmarking data and facilitate collaborative research related to healthcare quality. Accordingly, Participant grants to AACVPR a non-exclusive, irrevocable, perpetual license to use Participant’s OPR Data for the purpose of aggregating it with other participants’ data (“Aggregated Registry Data”) and sharing it with other participants for purposes of research and benchmarking for the benefit of participants’ quality improvement activities. AACVPR will share Participant’s OPR Data with other participants in a way that will not separately identify Participant’s OPR Data except to Participant as described in Section 2 of this Agreement or if Participant grants permission to AACVPR in writing.
License to Use Data. UNC-Chapel Hill grants Ancillary Study Institution the right to use the Data for the purpose of analyzing the Data to add such supplemental Data to the Add Health Study (the “Purpose”). Nothing herein shall be deemed a grant of a license to any intellectual property rights of the Data except as set forth in the Purpose. It is expressly agreed that no Party shall transfer by operation of this Agreement to the other Parties hereto any patent right, copyright, or other proprietary right that any Party owns as of the commencement of this Agreement, except as specifically set forth herein.

License to Use Data. Participant represents and warrants that Participant has the right to the Data and is legally authorized and permitted by all applicable state and federal laws to submit the Data to AQUIRE pursuant to the terms of this Agreement. Participant understands and agrees that the Data will be used for quality improvement purposes, including: for AUGS to provide confidential benchmarking report to participants; for AUGS to allow participants to track surgeon volume, patient outcomes and quality measures to fulfill Centers for Medicare and Medicaid Services (CMS) reporting and maintenance of certification requirements; and for AUGS to prepare and publish AQUIRE reports. Participant further agrees that AUGS may provide de- identified Data to third parties, including product device manufacturers; provided the disclosure of such de-identified-Data is not for AUGS’ commercial purposes, but for quality improvement and patient safety. Participant agrees that Participant’s Data will be aggregated with data contributed by other participants. Participant also agrees that AUGS is authorized and permitted to use and disclose the Data as permitted by the Business Associate and Data Use Agreement (Exhibit A). Accordingly, Participant grants to AUGS a non-exclusive, irrevocable, perpetual license to use Participant’s Data for the purposes stated in this Section 1.2, including aggregating it with other participants’ data (“Aggregated AQUIRE”) and sharing it with other participants for purposes of participants’ quality improvement activities. AUGS will share Participant’s Data with other participants in a way that will not separately identify Participant’s Data except to Participant as described in Section 2 of this Agreement or if Participant grants permission to AUGS in writing. The AQUIRE report described in this Section 1.2 will not identify Participant or any patient.

License to Use Data. To enable Manitowoc and any Distributor that sold You a Lifting product to access information collected, stored or transmitted by the CONNECT System concerning your Lifting Products in order to improve our service and maintenance offers on your Lifting Product, without violating any rights that YOU may have to such information, You hereby grant Manitowoc and such Distributors & CONNECT solution Partners a worldwide, non-exclusive, perpetual, irrevocable, sublicensable, royalty-free license to collect, view and use any Data relating to your Lifting Products that may be collected, stored and/or transmitted by the CONNECT System. Without limiting the generality of the foregoing, YOU acknowledge and agree that Manitowoc and such Distributors are entitled to retain and use, free of charge, any Data obtained by or through the CONNECT System about YOU, YOUR Authorized Users and your Lifting Products for such business purposes as Manitowoc may reasonably determine. Termination of this Agreement shall not terminate or otherwise negate the license granted by YOU to Manitowoc and such Distributors prior to the termination of this agreement. Manitowoc has the right to monetize this information to support the costs of managing the infrastructure of the CONNECT platform.
License to Use Data. Nothing in this Agreement will be construed to confer on Data Recipient any ownership interest, license or other rights as to the Data or any other intellectual property of Teachers College except as expressly stated in this Agreement. Subject to the terms and conditions of this Agreement, Teachers College hereby grants to Data Recipient and Data Recipient Researchers the non-exclusive, irrevocable, royalty-free rights: (i) to use the Data and research results derived from the Data for teaching and research, and related scholarly activities, including those listed in the Purpose; (ii) to use the Data in raw and aggregated form, as well as in combination with other data sets; and (iii) subject to Sections 6 and 7, to publish, reproduce or otherwise publicly disclose the research results and other products of the research.

License to Use Data. Each Member grants to the other Members a perpetual, worldwide, non- exclusive, royalty-free, and fully paid-up right and license to access and use such Member's Member Data as incorporated in the Shared Data only for the purposes permitted by this Agreement. Sublicenses to use such Member Data may not be granted to third parties except as approved by the Steering Committee in connection with a Member-Initiated Research project. Any such sublicense will contain such provisions as are necessary to ensure the proper handling of Shared Data by such third party in accordance with the terms of this Agreement and any applicable Data Security Regulations. A Member does not assign or convey to any other Member any right, interest or ownership of or to such Member's Member Data, other than as expressly provided in this Agreement. The licenses granted in this Section shall survive the termination, expiration or rescission of this Agreement.
